BayWa's Creditors Rejected a 98% Haircut — and the Company Insists No Bill Comes Due

BayWa's restructuring has run into a wall, but not the one investors might assume. Holders of the German agricultural group's subordinated hybrid bond turned down the proposed debt waiver, and the company has been quick to stress that the failed vote, standing alone, triggers no additional or immediate payment obligations.

The distinction matters. A rejected haircut is not the same as a demand for cash, and BayWa has said so explicitly. What the creditors declined was a plan that would have wiped out 98% of the nominal value of a €100 million bond, along with claims to interest. That relief — roughly €100 million in breathing room — now sits unrealized.

Rejection Went Beyond the Original Proposal

The vote closed on October 14, and creditors did not stop at spurning the initial offer. According to media reports, they also voted down the proposed amendments put forward alongside it. Both the intended waiver and the modifications tabled for approval were turned back.

BayWa had said just over a week ago that it would keep pursuing the hybrid bond restructuring. That stated intent, however, is a separate matter from the creditors' decision. Continuing to push a plan is not the same as securing consent to its terms, which leaves the two on different footings when it comes to valuing the company's progress.

Should investors sell immediately? Or is it worth buying BayWa?

A Threshold Filing Is Not a Share Purchase

Nor does the notification concerning Raiffeisen-Holding Niederösterreich-Wien fill the gap left by the missing relief. The disclosure shows no new direct purchase of stock. The reported total voting share held steady at 31.83%, and the threshold crossing occurred only at the level of a subsidiary — part of an internal reorganization within the Raiffeisen group flagged about a week ago.

In other words, the filing describes a shift inside the ownership structure, not a fresh build-up of a stake through direct share buying. That is a meaningful line for investors: a formal threshold notice answers a different question than the pending hybrid bond agreement, and it represents neither new capital flowing into BayWa nor evidence of a changed overall commitment from Raiffeisen-Holding.

A 2.9% Gain Proves Little About the Restructuring

The stock drew some attention with a 2.9% rise yesterday, yet a single positive session offers no evidence of headway on the bond overhaul. The move cannot be reliably attributed to the failed haircut as a reaction.

What investors are left with is a two-part picture. BayWa intends to carry on with the restructuring; the creditor approval needed to make it work has not been obtained. Neither a completed agreement nor an immediate extra payment burden can be inferred from where things stand.

BayWa at a turning point? This analysis reveals what investors need to know now.

December 22 Is the Next Hard Date

The company has announced publication of its 2025 group financial report for December 22, giving shareholders a concrete occasion to reassess the balance sheet alongside the ongoing restructuring efforts. A second marker follows on February 26, 2027, with the release of the 2026 half-year financial report.

Until then, the discipline is to keep the various disclosures apart. An unchanged voting share is no substitute for a financing agreement, and a stated willingness to keep negotiating is not a confirmed debt waiver. For anyone weighing the equity, firm agreements and financial statements will count for more than a stretched reading of individual announcements.
