Both intend to remain BioNTech shareholders even as they build out the new entity.

The founders' new project comes as the CEO continues to trim his personal stake. ?ahin sold 17,000 ordinary shares on each of two trading days, according to a mandatory filing with the US Securities and Exchange Commission. The transactions were executed under a Rule 10b5-1 trading plan established on June 3, 2026 — an arrangement that lets executives sell on a pre-set schedule, insulating them from any suggestion that the moves reflect a short-term read on the business.

Market Takes the Restructuring in Stride

Investors have absorbed the news without much drama. The stock traded at EUR 85.30 on Wednesday, eking out a modest gain of 0.2% for the day. That quiet session followed a 2.1% decline the prior day, when the shares closed at EUR 85.15 — a dip that came with no clear company- or sector-specific trigger, according to media reports.

Over a 30-day horizon, the shares are down 4.4%, stuck in a consolidation phase as directional catalysts dry up. Even so, the stock is holding just above its 200-day moving average of EUR 84.65, a level that offers some technical support.

The broader picture has been taking shape for weeks. More than a month ago, BioNTech announced the German plant closures; roughly two weeks later, word surfaced of the founders' retreat. About three weeks back came updated Gotistobart data alongside the supervisory board's proposal to appoint KPMG as auditor — signs of a company retooling its structures while pushing its oncology pipeline forward.

For shareholders, two threads now run in parallel: the mechanical, pre-arranged nature of the insider sales, and the market's focus on the longer-term realignment. Absent fresh operational signals, the stock looks set to move in step with the wider sector for the time being.
