BlackRock has nudged its holding in Commerzbank lower, according to a regulatory filing published Wednesday. The US asset management giant now controls 4.38% of voting rights and instruments in the Frankfurt lender, down from 4.49% previously. The threshold crossing that triggered the disclosure was dated October 2.
The move by one of the bank's most closely watched institutional holders lands at an awkward moment. Commerzbank is still working to stand on its own two feet in the equity market after UniCredit's takeover offer lapsed, and management has been at pains to stress that its standalone strategy remains intact. Chief executive Bettina Orlopp told Swiss newspaper Finanz und Wirtschaft that the bank has no intention of pulling back from its Swiss operations.
Brussels Opens the Clock
While BlackRock was fine-tuning its position, the bigger procedural story was unfolding in Brussels. The European Commission has formally registered UniCredit's bid for Commerzbank for antitrust review, with a decision expected by November 16, 2026. That filing marks the start of a fixed timetable and pushes the long-running battle over the German lender into its most consequential legal phase yet.
During this preliminary stage, the Commission has a couple of paths open to it. It can wave the deal through — with or without conditions — if it concludes that competition in European banking would not be materially harmed. Alternatively, if serious antitrust concerns surface, regulators can escalate to an in-depth probe, a process that would stretch the calendar by several months.

Early signals have been relatively encouraging for UniCredit. Germany's Federal Cartel Office said back in 2025 that it saw no competitive obstacles to such a combination, and Reuters reported that the European Central Bank leaned toward approval in August.

UniCredit has spent more than two years courting the German institution and has accumulated close to half of Commerzbank's share capital. Despite reservations voiced in Berlin, the two banks remain in talks over a potential merger.
The German government still holds considerable sway, with a 13.3% stake, and it has made little secret of its skepticism toward the Italian bank's ambitions. Should the Commission give the green light by mid-November, one of the key procedural hurdles would be cleared — leaving the final say on Commerzbank's future to the negotiating table and its ownership base.
Analysts Step Back
Sentiment among research houses has cooled in tandem with the regulatory uncertainty. RBC Capital Markets downgraded the stock from "Outperform" to "Sector Perform" on October 2, cutting its price target to EUR 40, according to media reports. Deutsche Bank Research had already moved to "Hold" on September 30.
That caution has left its mark on trading. The shares changed hands at EUR 37.94 on Friday, essentially flat with a marginal decline of 0.03%, giving the bank a market value of EUR 41.68 billion. The stock has nonetheless managed a gain of 4.9% so far this year, with the current price of EUR 37.86 reflecting a consolidation after a stronger stretch.
