Commerzbank: 3.16 Million Shares Retired Into the Buyback, While BlackRock Files Twice and UniCredit Waits
Published on 10/19/2026 at 17:31 | Editorial boerse-global.deCommerzbank's latest disclosure to the market concerns shares it has already taken off the table, not the stake UniCredit hopes to put on it. The Frankfurt lender reported the purchase of 3,157,027 of its own shares for the period from 12 to 16 October inclusive, extending a buyback that has been running without interruption through the autumn.
The figure follows the 2,987,942 shares repurchased in the 5 to 9 October window, according to the bank's own statements. Cumulative purchases under the programme had reached 11,114,083 shares from 4 September through 9 October — a total that reflects the earlier reporting cut-off and should not be confused with the most recent weekly number.
Two Very Different Kinds of News
Executed buybacks and the anticipated takeover steps sit at opposite ends of the certainty spectrum. The repurchase notices describe completed transactions; UniCredit's expansion of its stake remains forward-looking.
On Thursday, UniCredit said the ECB had cleared it to cross the 30% ownership threshold — and to keep going beyond it without a cap. The Italian bank expects the remaining procedures to wrap up around year-end, after which it anticipates holding roughly 50% of Commerzbank's voting rights. That is a projection, not a stake already in hand. On Friday, German Finance Minister Lars Klingbeil described the talks over the terms of the intended takeover as constructive, with the teams in contact, according to dpa-AFX.

BlackRock's Two Filings Land on Separate Dates
Ownership disclosures added another layer during the week. BlackRock notified a threshold crossing on Thursday, with 9 October given as the date the threshold was reached or exceeded. A day earlier, the asset manager had already reported a threshold touch, this one dated 8 October. The two filings therefore rest on different reference dates.
Neither should be conflated with UniCredit's announced build-up: BlackRock's mandatory notifications and UniCredit's path toward control describe separate processes. For anyone trying to read Commerzbank's shareholder register, that distinction carries more weight than the sheer volume of stake-related headlines.
Permission Is Not the Same as Control
The ECB's green light lets UniCredit push its holding higher without an upper limit. It is a supervisory step, not the acquisition of control itself. UniCredit's own guidance — about 50% of voting rights and control by year-end — still hinges on completing the outstanding regulatory procedures and satisfying the offer conditions.
So approval and execution run on parallel tracks. The regulatory clearance opens the door to further stake-building; the promised control remains an expectation subject to conditions. Nothing in the authorisation alone amounts to a completed change of control.

RBC Tweaks Its Target, Keeps Its Rating
A more measured read on valuation came on 13 October, when RBC Capital Markets reportedly lifted its price target to EUR 41 from EUR 40, holding the rating at "Sector Perform." The bump therefore arrived without an upgrade — a higher target says nothing about whether UniCredit will actually secure the control it is aiming for.
The next scheduled date on the corporate calendar is 5 November, when Commerzbank intends to publish its third-quarter 2026 results. Until then, investors have two developments at markedly different stages to weigh: buybacks already booked, and takeover steps still to be cleared.
