Commerzbank: A Regulatory Green Light, a Neutral Analyst, and a Date in November

Deutsche Bank Research stays neutral on Commerzbank with a €42 target, citing solid earnings hopes but UniCredit strategic uncertainty.

Deutsche Bank Research sees Commerzbank delivering solid quarterly results — but that alone isn't enough to justify a buy. The analyst house kept its "Hold" rating on the stock with a price target of 42 euros, a call that pairs confidence in the operating business with caution over the strategic uncertainty surrounding UniCredit.

Earnings, not headlines, drive the view

Analyst Benjamin Goy looked for particularly solid figures on net interest and commission income. At the same time, he viewed the valuation as fair ahead of what was then a still-pending UniCredit approval. The assessment therefore predates the ECB decision, which was announced after the Xetra close — it should not be read as a reaction to that clearance.

That sequencing matters for investors. Goy's take on the operating business and his read on the strategic situation belong together; a positive earnings outlook on its own cannot be spun into a more favorable recommendation. Deutsche Bank Research stuck with its neutral stance despite the expected solid development.

The next real-world test comes on November 5, when Commerzbank publishes its third-quarter 2026 results. Only then can the expectations for those two revenue lines be checked against actual figures. Until that point, the gap between forecast and reported result stays decisive: Goy's comments describe expectations, not numbers already on the tape.

Should investors sell immediately? Or is it worth buying Commerzbank?

What the ECB nod does — and doesn't — change

UniCredit said the ECB authorization allows it to cross the 30 percent threshold and raise its stake without an upper limit. The remaining regulatory steps and conditions are expected by year-end, after which the Italian lender is targeting roughly 50 percent of Commerzbank's voting rights and control of the bank.

So a key supervisory hurdle has been cleared — but the sought-after change of control has not been completed. The approval and the outstanding steps have to be weighed separately. Tagesschau also reported that UniCredit expects the remaining regulatory steps and conditions for closing the offer around the end of the year. The timeline remains a company expectation, not a finished outcome.

The trading day that preceded the news

Commerzbank shares closed yesterday at €37.82, in weaker territory. The announcement on the ECB clearance only landed after the Xetra close, which rules it out as the trigger for the earlier decline. The completed trading session and the subsequent corporate news are two distinct events — no rejection of the approval can be inferred from the day's loss alone.

A second analyst, a different timetable

RBC Capital Markets had already raised its price target for Commerzbank on Tuesday, lifting it to 41 euros from 40 while keeping a "Sector Perform" rating. That adjustment came before the latest clearance and is not a retroactive verdict on it. RBC paired the higher target with an unchanged rating.

Two separate storylines now sit side by side: Commerzbank's operating earnings report and the further takeover steps UniCredit expects to complete. The ECB permission gives the possible stake build concrete shape. Whether — and when — it turns into the targeted voting position still hinges on finishing the steps that remain open.
