Commerzbank Maps Out a Two-Step Path Into UniCredit While Defending Its Record Earnings
Published on 11/06/2026 at 14:01 | Editorial boerse-global.deCommerzbank has sketched a phased route into UniCredit, telling Reuters it would first be consolidated as a subsidiary before a later merger with UniCredit's HVB unit becomes possible. The blueprint, which still hinges on further regulatory clearances, points to procurement, technology and sales as the likeliest sources of synergy.
Approvals for the takeover offer are not expected before the fourth quarter of 2026, or the first quarter of 2027 at the latest. Until those clearances land, the next steps cannot proceed — a timeline that matters for anyone weighing the stock.
Orlopp Sees Value, Though the Talks Draw Mixed Reviews
Chief executive Bettina Orlopp struck an upbeat tone on the integration discussions, calling the exchange "very constructive" and pointing to substantial, tangible value potential. According to Il Giornale, she regards Commerzbank as negotiating from a position of strength, with working groups from both lenders swapping information on their business models and on where joint value could be created. Those teams are laying the groundwork for the upstream consolidation once permission is granted.
Not everyone reads the mood the same way. Platow reported that talks between Orlopp and UniCredit chief Andrea Orcel remain stalled. Orcel himself has described his involvement as personal, and on 30 October UniCredit publicly committed to financing German mid-sized companies in the event of a combination.
Should investors sell immediately? Or is it worth buying Commerzbank?
A Record Nine Months as the Bargaining Chip
The strongest card in Orlopp's hand is earnings. Commerzbank posted a net profit of EUR 2.7 billion across the first nine months of 2026 — the best such stretch in its history and a 41% increase on the prior-year period. For the third quarter alone, net profit came in at EUR 859 million, up 45% year on year.
Management reaffirmed its full-year target of at least EUR 3.4 billion in net profit, with revenue seen at roughly EUR 13.2 billion. The one soft spot: fierce competition for deposits forced the bank to trim its 2026 net interest income forecast to EUR 8.5 billion from EUR 8.6 billion.
RBC responded by cutting its price target on the shares to EUR 39 from EUR 41 while keeping a "Sector Perform" rating. Analyst Anke Reingen flagged uncertainty surrounding the takeover and the dimmer outlook for net interest income.
Buybacks Keep Rolling
Capital returns continue in the meantime. Under its mandatory disclosure from Monday, Commerzbank repurchased 3,316,027 of its own shares between 26 and 30 October inclusive. Since 4 September through the end of October, the buyback has totaled 21,268,730 shares.

Integration Risk Is Where the Value Case Gets Tested
A FAZ commentary published yesterday flagged substantial integration hazards. A combination could see credit lines to individual borrowers pared back to protect risk-bearing capacity, while rivals are already hoping to poach customers during what would be a multi-year integration. A tangled IT migration and keeping staff on board rank among the central challenges, according to the paper.
That puts execution at the heart of the investment case. The promised value creation only holds up if customer relationships, personnel and operating performance survive the restructuring — and firm agreements, alongside the outstanding approvals, will dictate how the story unfolds.
