Commerzbank's Buyback Tally Climbs Past 8.1 Million Shares as Two Brokerages Step Back

Commerzbank bought back 8,126,141 shares since September 4; RBC and Deutsche Bank downgraded the stock, and the EU ruling is due November 16.

Commerzbank kept its repurchase machine running through the final days of September and into early October, disclosing on Tuesday that it bought back 1,871,048 of its own shares during the week spanning September 28 to October 2. The mandatory filing puts the cumulative total since the program's September 4 launch at 8,126,141 shares — a figure that captures completed transactions rather than a fresh commitment.

That distinction matters, because the buyback and the shifting analyst view of the stock are not the same story. One is a capital measure already in motion; the other reflects expectations and perceived risks. Both can be true at once: the lender is steadily retiring equity while some of the houses that cover it see a narrower path to further gains.

Two downgrades, two different approaches to price targets

The more cautious tone on the valuation side has come from two separate desks, and they did not move in lockstep. RBC Capital Markets cut Commerzbank roughly a week ago, shifting its rating from "Outperform" to "Sector Perform" and trimming its price target to EUR 40 from EUR 43. According to media reports, the firm pointed to higher cost of equity and mounting risks tied to UniCredit's ambitions, along with reduced visibility on how the bank's strategy will unfold from here.

Deutsche Bank Research took a different route. It had already moved on September 30, lowering its recommendation from "Buy" to "Hold" while leaving its EUR 42 target untouched. Analyst Benjamin Goy's reasoning centered on the view that the key share-price drivers are largely priced in or already delivered, with uncertainty over the future strategic direction capping additional upside.

Should investors sell immediately? Or is it worth buying Commerzbank?

The two actions therefore signal greater restraint on recommendations without amounting to a uniform reassessment of the stock's potential. Friday's close of EUR 37.97 sat below Deutsche Bank's target, a reminder that a downgrade does not automatically imply a target beneath the market price.

Brussels sets a date, not a decision

Running alongside the buyback and the ratings changes is the regulatory track. UniCredit has filed for EU antitrust clearance of its planned moves on Commerzbank, and the European Commission has set November 16 as the deadline for its competition ruling, Reuters reported. That date is neither a takeover deadline nor an approval — it simply marks the next scheduled decision point in the review.

For anyone weighing the equity, three separate layers now sit side by side: share purchases already executed, analyst recommendations that have been withdrawn or trimmed, and a competition verdict still pending. None of them substitutes for the others, and treating the buyback alone as evidence of a more favorable view of the shares would conflate a completed corporate action with an unresolved debate about strategy.

The next hard data point

Attention now turns to operations, with Commerzbank having scheduled publication of its Q3 2026 results for November 5, 2026. That date offers the next announced occasion to set actual business performance against the valuation arguments the analysts have raised. Until then, the repurchase program stands as documented progress — but it does not answer the strategic questions that prompted the more guarded recommendations.
