Commerzbank's November Reckoning: Two Downgrades, a Demanding Berlin, and a Management Pitch for Independence

Commerzbank faces a 5 November Q3 test as Deutsche Bank and RBC cut ratings, with UniCredit's intentions and Berlin's terms adding uncertainty.

The next hard number on Commerzbank's calendar arrives on 5 November 2026, when the Frankfurt lender publishes its third-quarter results. After months in which speculation about a possible move by Italy's UniCredit dominated the conversation, that date shifts attention back to the unglamorous question of whether the bank can keep earning at its current pace.

Analysts, for their part, have been trimming their enthusiasm. Deutsche Bank Research cut the stock to "Hold" from "Buy" on 30 September, with analyst Benjamin Goy keeping his price target at EUR 42 but arguing that the remaining upside is limited. In his view, the key drivers that carried the shares higher — rising net interest income and shareholder payouts — are now largely priced in or already delivered.

RBC Capital Markets followed on 2 October, downgrading the stock to "Sector Perform" from "Outperform" and lowering its target to EUR 40 from EUR 43. The brokerage pointed to higher execution risk stemming from UniCredit's intentions, alongside increased cost of equity and operational uncertainties tied to the ambitions of the major shareholder.

Berlin Sets Terms for Any Deal

The political backdrop has grown more explicit. Roughly a week before the RBC move, the German government asked UniCredit for firm commitments in the event of an agreed takeover. According to Reuters, Berlin wants the bank to remain listed, to keep its base in Frankfurt and to expand its lending to small and medium-sized enterprises, with major decisions continuing to be made on German soil. UniCredit welcomed the dialogue but made clear that talks are not yet concluded.

Should investors sell immediately? Or is it worth buying Commerzbank?

That standoff explains part of the market's caution. UniCredit's plans had at times pushed the share price higher, but the operational and strategic hurdles are now drawing more scrutiny than the deal chatter itself.

Where the Shares Stand

Trading has reflected the cooler mood. The stock closed at EUR 39.86 on the most recent Tuesday, a gain of 1.5% on the previous session, leaving it 8.0% below its 52-week high of EUR 43.34. In a separate reading, the shares were quoted at EUR 39.34, down 1.3% on the day.

Management, meanwhile, is trying to make its own case. Chief executive Bettina Orlopp reaffirmed the group's standalone strategy in an interview and stressed its commitment to the Swiss business. Alongside its international footprint, the bank is pushing initiatives in its home market.

A Retirement Product and a Survey to Match

One of those efforts is a planned retirement savings account. A YouGov poll commissioned by Commerzbank and its comdirect subsidiary found that 70% of respondents want to decide on their investments independently, while 38% consider a dedicated retirement savings product a likely step — with interest especially pronounced among younger people. The bank intends to launch its own offering in time for the start of state subsidies in 2027.

For the management team, the coming weeks are about proving the bank's worth through operating earnings rather than deal speculation. Persistent attention on possible consolidation only raises the bar for steady results — and November will be the first reliable checkpoint.
