Two of Germany's most closely watched research desks looked at the same set of Commerzbank numbers today and reached opposite conclusions — a divergence that frames the lender's central challenge as it juggles a record earnings run, a tougher fight for deposits and delicate integration talks with UniCredit.

ODDO BHF raised its price target to 47 euros from 45 and kept a positive rating on the stock. Deutsche Bank Research stayed on hold with a 42-euro target. Analyst Benjamin Goy called the quarter "mixed," noting that pre-provision profit and net income fell short of expectations while fee income, costs and loan losses came in better than feared.

A record first nine months — with a caveat

The headline figure is hard to argue with. Commerzbank booked a net profit of 2.7 billion euros across the first nine months of 2026, up 41% year on year — the strongest first three quarters in the bank's history, according to chief executive Bettina Orlopp. The precise figure was 2.669 billion euros, flattered in part by restructuring charges booked in the prior-year period. Strip those out, and the underlying picture looks less dramatic, which is why investors are being urged to watch operating trends rather than the reported bottom line.

Full-year guidance remains intact: at least 3.4 billion euros of net profit for 2026 on revenues of roughly 13.2 billion euros. Orlopp, speaking in a Bloomberg interview today, pointed to cost discipline and reaffirmed the annual targets.

Should investors sell immediately? Or is it worth buying Commerzbank?

Where the quarter delivered

The operating leverage in the latest three months offers the bulls their strongest card. Revenues climbed 9% while costs held flat at 1,677 million euros against the year-earlier quarter, pushing operating profit up 25%. Fee income — singled out by Deutsche Bank Research as a positive surprise — could help offset pressure on the interest margin as competition for savings deposits intensifies.

There was relief on the risk side too. Legal risk provisions at subsidiary mBank for foreign-currency loans dropped to 18 million euros in the third quarter of 2026, down from 107 million euros a year earlier. The question for the optimistic case is whether the bank can keep that revenue-to-cost balance without leaning on such one-off easings.

Where it fell short

Against that, the quarter missed on the metrics that feed directly into future earnings. Earnings per share came in at 0.77 euros, short of the 0.79 euros analysts had penciled in, and revenues also lagged forecasts. If deposit competition keeps squeezing the margin, Commerzbank will need to lean harder on fees and cost control to compensate.

The miss matters because it lands in exactly the territory that determines whether the profit target is reachable. Strong year-on-year growth alone won't justify a richer valuation unless it also clears market expectations — the crux of the disagreement between the two research houses.

UniCredit: constructive talks, unresolved terms

Running alongside the earnings debate is the question of what Commerzbank is worth inside a larger group. Orlopp described the exchange with UniCredit as "very constructive" and pointed to substantial, tangible value potential, telling Il Giornale that the bank enters the discussions from a position of strength. Working groups from both lenders are swapping information on their business models and preparing the planned upstream consolidation once approval is granted.

Not everyone reads the mood the same way. Platow reported today that talks between Orlopp and UniCredit chief Andrea Orcel remain stalled. Orcel, for his part, is said to oppose Orlopp staying at the helm and rejects the German state's demand for two supervisory board seats — leaving open questions about future leadership and influence.

Regulatory sign-off is the other variable. Further approvals for the takeover offer are expected in the fourth quarter of 2026 or, at the latest, early 2027. Only once those clearances arrive can the next steps proceed.

Commerzbank at a turning point? This analysis reveals what investors need to know now.

Integration risk cuts both ways

A commentary in the FAZ yesterday flagged substantial integration hazards. A combination could force the trimming of individual borrowers' credit lines to preserve risk-bearing capacity, while rivals are already circling in the hope of poaching clients during a multi-year merger. A complex IT integration and keeping staff on board rank among the core tasks, according to the newspaper.

That puts execution at the heart of the investment case. The value Orlopp describes depends on holding customer relationships, personnel and operating performance together through the transition — constructive dialogue provides a starting point, but firm agreements and outstanding approvals will set the pace.

The next checkpoint

For now, the optimistic analyst view holds up only as long as the profit target stands and cost control bites. Should revenue growth fade while margin pressure persists, the more cautious valuation is likely to carry the day. The fourth-quarter and full-year figures, due on 11 February 2027, will show whether the bank hit its annual goals and how sturdy its earnings base was at year-end. Alongside that, the pending merger clearances will decide the terms on which a combination with UniCredit could take shape — making both demonstrated earnings power and deal conditions the twin tests ahead.
