Federal Finance Minister Lars Klingbeil has summoned UniCredit chief Andrea Orcel to Berlin on Monday, 14 September, marking the most direct contact yet between the German government and the Italian lender since the takeover saga began. The meeting could set the tone for months of negotiations to come.
Berlin's Red Lines Take Shape
According to Reuters, the German government has shifted its stance and effectively abandoned its resistance to a UniCredit takeover, while insisting that Commerzbank's German identity and its stock exchange listing be preserved. Hesse's state premier, Boris Rhein, had already laid down a similar marker at a meeting with Orcel in early September, demanding that the bank's legal headquarters remain in Frankfurt and that Commerzbank continue operating as a stock corporation under German law.
That political pressure persists even as the regulatory picture brightens for the Italians. A confidential document reviewed by Reuters shows the European Central Bank reached a preliminary conclusion that there is "no reason to reject" a change of control by UniCredit. The ECB's assessment focuses squarely on supervisory criteria, whereas Berlin and Wiesbaden are preoccupied with location questions, jobs, and control over one of Germany's last major private banks. The two tracks are not in conflict, but they pull in different directions.

On the corporate side, CEO Bettina Orlopp has confirmed she is in direct talks with UniCredit and has explicitly conditioned her continued tenure on reaching a strategic agreement with the supervisory board. Her future at the helm is therefore bound up with the outcome of the negotiations — a linkage she first signaled in early September and has since reinforced.
Reuters further noted that Germany's fundamental posture toward a possible takeover has evolved, a shift the news agency believes could encourage broader bank consolidation across Europe. Should Monday's meeting between Klingbeil and Orcel produce a concrete framework, the ripple effects would extend well beyond Frankfurt.
Buyback Provides a Floor
Running alongside the political maneuvering is a capital return program that has been lending the stock steady support. The management board approved a buyback of up to EUR 1.2 billion in early September, launched on 4 September and scheduled to run no later than 10 February 2027. The repurchased shares are to be cancelled. The measure forms part of the distribution for the 2026 financial year, during which the bank aims to earn at least EUR 3.4 billion and return roughly EUR 3.2 billion to shareholders.
Since the buyback began, the stock has gained around 2.8%. Friday's close came in at EUR 43.02, just 0.2% shy of the 52-week high of EUR 43.12 set in early September. Over the past 30 days the shares have added 9.3%, and year-to-date they are up 19%. The gap to the 200-day moving average now stands at 20% — a measure of how sharply the stock has accelerated past its long-term trend.
Analysts Stay on the Sidelines
Despite the proximity to record levels, sell-side sentiment remains muted. JPMorgan raised its price target from EUR 38 to EUR 39 in early September but kept its rating at "Neutral," well below the current trading level. That suggests a good portion of the upside is already priced in, and that the next leg will depend heavily on how the takeover talks unfold.
For investors, Commerzbank remains a politically driven special situation, its trajectory tethered to the pace of negotiations. Until Berlin and Milan find common ground, volatility is likely to stay elevated.
