Commerzbank: UniCredit's Two-Track Path to Control, and the Numbers That Must Justify It

UniCredit has cleared the single most symbolic regulatory barrier in its pursuit of Commerzbank. The ECB's Thursday authorization allows the Italian lender to push past the 30% stake threshold and build its holding without any fixed cap. What it does not do is complete a takeover — and the gap between permission and possession is where the real story sits.

That distinction matters because a second, entirely separate conversation is unfolding alongside it. JPMorgan confirmed its "Neutral" rating on Commerzbank yesterday, holding its price target at €39. Neither an upgrade nor a downgrade, the note offers no fresh optimism; the shares closed at €37.56, below the target but with no buy recommendation attached. Two questions — UniCredit's creeping control and Commerzbank's own operating performance — are running on parallel clocks, and investors would be wise not to blur them.

A timetable stretching to the end of the decade

According to Il Messaggero, UniCredit envisions a reorganization of Commerzbank followed by a later merger with HypoVereinsbank. An extraordinary shareholder meeting is expected in early 2027, no later than February, with full integration projected for 2029–2030. UniCredit itself expects to satisfy the remaining regulatory conditions around the turn of the year, after which it aims to hold roughly 50% of voting rights and thereby secure control. The ECB nod is a prerequisite for that build-up — not a substitute for the outstanding procedures and offer conditions.

The next hard date on the calendar is 16 November 2026, when EU competition authorities are due to rule. Polish approval is anticipated before year-end, per the same report.

Should investors sell immediately? Or is it worth buying Commerzbank?

Berlin wants guarantees, and Verdi is counting jobs

Political resistance has not faded. Kathimerini reports that the German government is demanding commitments on the stock exchange listing, the Frankfurt headquarters, employment levels, and the supply of credit to small and medium-sized enterprises — conditions that touch the very architecture of any combined group. Verdi, meanwhile, fears up to 15,000 job cuts at Commerzbank, a figure that lays bare the tension between integration economics and workforce interests.

The 2030 profit test

For the combined entity, Il Messaggero cites estimates of around €21 billion in profit and roughly €45 billion in revenue for 2030. Those are projections for a planned union, not results in hand. They set the bar against which the industrial logic of the deal will be judged — and that bar is not the only one in play.

Bettina Orlopp had already raised Commerzbank's standalone ambition: a profit of just under €6 billion for 2030, up from a prior plan of just under €5 billion. Any merger case must therefore clear a higher independent hurdle than existed before. A larger group, on its own, does not answer whether it creates more value than the bank could deliver alone.

Commerzbank at a turning point? This analysis reveals what investors need to know now.

What actually gets tested next

Commerzbank publishes third-quarter 2026 results on 5 November 2026 — the next scheduled checkpoint for the operating side of the ledger. A regulatory green light says nothing about revenue, earnings, or business momentum; a quarterly report, conversely, does not advance the pending steps toward control. Commerzbank declined to comment on the ECB authorization.

For shareholders, the binding items ahead are concrete: the outstanding approvals, the specific terms of integration, and how UniCredit intends to reconcile its reorganization blueprint with Commerzbank's upgraded standalone targets. Until those land, the stock sits between a permission and a completion — with a neutral analyst, a €39 target, and a date in November to keep it company.
