Deutsche Telekom Absorbs Essen Fiber Grid as Cloudflare Tie-Up Broadens Enterprise Bet

Deutsche Telekom is pressing ahead on two fronts at once — buying up regional fiber where it can, and partnering with global technology names where building alone would take too long. The Bonn-based carrier has agreed to acquire the fiber infrastructure of ruhrfibre Essen and Metrofibre through an asset deal, a network spanning roughly 87,000 households in the city, some of which are still under construction.

The move amounts to an infill play in a market where Telekom already reaches about 288,000 households with direct fiber-to-the-home connections, with a further 25,000 households potentially added via the DOKOM21 network it took over at the end of 2025. The insolvent previous owner had terminated its cooperation with rival Vodafone as of September 30, 2026, meaning affected customers must switch to Telekom contracts if they wish to keep using the grid. Once the deal closes, the infrastructure is to be migrated onto the group's own architecture and opened to both retail customers and wholesale partners.

Cloudflare Deal Extends the Push Beyond Connectivity

Running alongside the network consolidation is a deepening alliance with Cloudflare. Telekom is adding the US firm's security and connectivity products to its business-customer portfolio, while the two partners are interconnecting their networks directly to harden data transfers and cut latency. For the DAX-listed group, it marks another step into higher-margin digital services that sit apart from the plain connectivity business.

That commercial repositioning is flanked by steady build-out at home. In August alone, the company added 222,000 fiber connections, bringing the total reach to 14.1 million households and businesses able to book bandwidth of up to 2,000 Mbit/s. Mobile infrastructure is getting the same treatment: with data traffic growing at roughly 30 percent a year, Telekom says it has modernized about half of its mobile sites, adding 115 new locations in August and unlocking extra capacity at 401 existing masts. New sales channels are opening up too — three green electricity tariffs launched on the MeinMagenta app in cooperation with provider Rabot Energy, which handles supply and customer service.

Cash Generation Holds Up as Regulatory Clouds Shift

For investors, the central question is whether the group can keep lifting free cash flow while spending heavily on fiber and network security. Second-quarter adjusted free cash flow AL rose 3.1 percent to EUR 5 billion, with adjusted EBITDA AL up 7.3 percent to EUR 11.8 billion. Management is targeting around EUR 20 billion in adjusted free cash flow AL for the full year, having previously guided to more than EUR 19.8 billion.

Whether that mark holds over the medium term leans heavily on the regulatory framework for network security. Under existing German arrangements, critical components from Chinese suppliers Huawei and ZTE must be removed from 5G core networks by the end of 2026 and from key access and transport networks by the end of 2029. A new European Commission draft reportedly drops the rigid 36-month deadline for a complete swap-out that had originally been discussed — a shift that could spread out an estimated EUR 40 billion in forced investment across the telecom industry over a far longer horizon.

Analysts Split on the Risk-Reward Balance

Berenberg counts Deutsche Telekom among its top European picks in the telecom sector, reiterating a buy rating with a price target of EUR 35.20. The payout story underpins that view: for fiscal 2025 the company paid a dividend of EUR 1.00 per share, an increase of 11 percent, supplemented by share buybacks of up to EUR 5 billion this year that support earnings per share.

Bernstein takes a more defensive line, assigning a market-perform rating and a EUR 28.10 target. Analyst Ulrich Rathe pointed to a Reuters report on EU member-state deliberations over a longer timetable for replacing Huawei and ZTE equipment. Even if strict EU deadlines fall away, Germany's national security-agency deadlines for the core network through the end of 2026 remain in place. Should the transport and core network overhaul require larger write-downs or costlier replacement components than budgeted, operating cash flow would take a hit. Integrating smaller networks is itself costly, tying up resources as competition in wholesale and retail stays fierce. And if the economic downturn in core European markets dampens mobile and fixed-line growth, the valuation — with a market capitalization of EUR 124.87 billion — faces a test.

What the Market Is Watching Next

As long as Telekom can safeguard its full-year targets of around EUR 47.5 billion in adjusted EBITDA AL and its free cash flow, the fundamental picture supports stabilization at current levels. Should investment discipline slip on unexpected network costs or delays in the regulatory swap-out plan, the stock could revisit its recent lows.

Shares traded at EUR 26.62, up 2.0 percent, on the day the Essen deal emerged, with the market weighing whether regional network purchases, organic build-out and signals from Brussels can pull the stock out of its recent downtrend. Attention now turns to the final shape of the European rules on excluding network suppliers, and to how smoothly the Essen acquisition closes and further FTTH assets are folded into the national grid. Telekom hosts its AI Investor Day on October 5, with third-quarter 2026 results due on November 5, 2026.
