Thursday's agenda centers on the planned acquisition of Resulticks, alongside a series of structural resolutions that could redraw the ownership map entirely.
Insider Selling Lands Ahead of the Vote
A regulatory filing submitted Monday brought fresh movement in the shareholder base to light. Rhino Ventures Limited and Miles Pelham disposed of shares on September 22, according to the mandatory disclosure. The reported economic interest of the parties involved amounts to 32,355,003 shares, or 39.2% of the class, a figure that includes warrants approaching exercisability.
The timing has not gone unnoticed. Pelham, who serves as a director and a 10% owner, sold his entire direct holding, leaving him with no direct Diginex shares according to the filing. A complete exit from direct equity by a member of the leadership team is difficult to frame positively. Personal reasons can always explain such transactions, but the proximity to a pivotal vote gives the move outsized weight as a signal to the capital markets.
A US$1.05 Billion Deal Paid in Paper
At the heart of Thursday's ballot sits the purchase of all Resulticks shares, a transaction valued at US$1.05 billion under a Schedule 13D/A. The consideration would be settled through the issuance of 600,000,000 newly created shares.

That structure carries profound implications for existing holders. When an acquisition of this scale is financed almost entirely with fresh equity, the influence of current owners shrinks dramatically, and the threat of substantial dilution becomes very real. Completion is targeted for no later than October 30, 2026, though it remains subject to a range of conditions. Diginex has already made clear that closing is not guaranteed. The acquisition has not been completed to date.
Market Reaction Stays Muted
Against the noise of the ownership changes and the looming dilution, the stock's recent performance has been comparatively calm. Diginex closed yesterday at US$1.29, a modest gain of 0.8% on the day. Over seven days, the shares have added 10%. The company's market capitalization stands at EUR 57.00 million.
Operational Momentum Continues Regardless
Even with structural questions dominating the agenda, Diginex has kept pushing its core business forward. Roughly a week ago, the company unveiled an expanded end-to-end platform for supply-chain due diligence. The solution is designed to map suppliers across multiple tiers, assess risks using company, employee, and third-party data, and document corrective actions.

Management pointed to forecasts from research firm Verdantix, which projects the global market for this segment will grow beyond US$7 billion by 2029. About two weeks earlier, Diginex had also bundled scientific and regulatory expertise into a new specialist group. The initiative is led by Interim CEO Archana Kotecha, while Johannes Weber took on the role of VP of Sustainability Science and Intelligence.
However valuable the expansion of digital supply-chain auditing tools may be, it does little to alter the overarching risks. The insider exit and the sheer scale of the takeover dominate the picture. For now, the dilution threat and the retreat of a key insider weigh more heavily than operational progress, which argues for caution.
