Diginex shareholders have done their part. Whether the Resulticks takeover actually closes is now a question for lenders and regulators — and the market's reaction to the shareholder vote is no substitute for the outstanding approvals.

The stock climbed 6.2% yesterday. That move says nothing about whether the conditions attached to the transaction have been met. The deal remains open.

What the Vote Did — and Didn't — Settle

Roughly two weeks ago, shareholders approved the planned acquisition of Resulticks Global Companies at an extraordinary general meeting. According to company figures, about 98.8% of votes cast at the meeting backed the transaction. In the same vote, investors cleared the issuance of 600,000,000 new Diginex shares to the sellers.

That second element matters as much as the first. The resolution covers both the purchase itself and the share-based consideration funding it — a single package, not two separate questions. Approval of a share issuance is a component of the takeover plan. It does not confirm that the plan will be executed.

Should investors sell immediately? Or is it worth buying Diginex?

The share count comes with a caveat: it is adjusted for the approved ten-to-one stock split, and that adjustment is an explicit part of how the consideration is described. Quoting the raw figure without it would misstate the agreed structure.

Two Lenders, US$52.8 Million, and a Condition Precedent

The financing side of Resulticks is where the deal's fate gets more complicated. In an SEC filing roughly two weeks ago, Diginex disclosed approximately US$31.8 million in outstanding capital under the Ascertis facility and about US$21.0 million under the Anicut facilities — US$52.8 million in total.

Those numbers are not background detail. Lender consents rank among the conditions to closing, which puts the borrowed money directly in the path of the transaction rather than off to the side. A credit facility is not the same thing as fully drawn obligations, so both figures deserve attention on their own terms. Diginex also disclosed a total facility volume of US$40.0 million for Ascertis, against which the US$31.8 million was reported as outstanding.

One further disclosure deserves equal weight: Diginex said it has not independently verified Resulticks' figures. That caveat bears on how much reliance the disclosed information can bear. It is neither a confirmation that the numbers are wrong nor an independent audit of them.

Diginex at a turning point? This analysis reveals what investors need to know now.

A Target Date Is Not a Closing

Diginex has set 30 October as the latest targeted completion date. Nasdaq's approval of the initial listing application for the combined company also sits among the closing conditions. The shareholder vote and the exchange listing are distinct steps, and anyone tracking the deal's progress has to keep the approvals already in hand separate from the ones still pending.

Read together, the structure points to a single conclusion for investors: the size of the approval margin is not the measure that matters. What counts is how the share consideration, the lender obligations and the remaining approvals fit together. Until Nasdaq signs off and the lenders consent, the 30 October date is an objective — not a confirmation that the deal is done.
