Diginex's Resulticks Purchase: What the Vote Didn't Settle

Diginex has cleared its biggest procedural hurdle on the road to acquiring Resulticks, but the gap between a shareholder mandate and a completed transaction remains wide. The approval secured roughly a week ago answered the ownership question. It did nothing to resolve how the deal gets paid for, who has to sign off next, or whether the financing behind the target can be restructured in time.

The price is being paid in equity, not cash

The authorization covers the issuance of 600,000,000 Diginex shares to Resulticks' sellers. That consideration is subject to adjustment through a 10:1 share consolidation that shareholders also approved. The structure matters: this is an acquisition funded by giving the other side a stake in the combined company, not a cash purchase.

For existing holders, the relevant question is what Resulticks contributes in return for that equity. The sheer size of the share package, or its later recalibration through the consolidation, says little about the economic merit of the deal on its own.

The mandatory disclosure Diginex published shows the transaction proposal drew 98.809% of votes cast. Shareholders also greenlit the change of control and an increase in authorized share capital. That is a strong endorsement from those who voted — but a vote records a decision, not the wisdom of it. Backing from the electorate is not a guarantee of future performance.

Should investors sell immediately? Or is it worth buying Diginex?

Two lenders, two sets of obligations

Diginex disclosed Resulticks' existing borrowings about a week ago, and the numbers are central to any assessment of the purchase. An Ascertis credit facility carries a total commitment of US$40.0 million, of which roughly US$31.8 million was outstanding. The Anicut facilities account for another US$21.0 million drawn.

Those figures cannot be read in isolation. Nor should they be treated as proof of an unsustainable burden. The disclosure comes with a caveat that cuts both ways: the financing information was supplied by Resulticks and was not independently verified by Diginex. That is not evidence of inaccurate numbers, but it does affect how much weight the data can bear.

Diginex also made a legal point worth keeping straight: it is not currently a party to these loans and has not issued a guarantee. The obligations therefore should not be described as Diginex's own credit commitments. That distinction does not, however, make the loans irrelevant. Creditor consent and refinancing are conditions on the path to closing, and the absence of a Diginex guarantee removes none of those requirements from Resulticks.

What still has to happen before the deal closes

Resulticks must obtain approval from the Ascertis lenders. It also intends to refinance the Anicut facilities before completion — a plan, not a done deal. A refinancing in the works is not the same as a retired facility.

Diginex at a turning point? This analysis reveals what investors need to know now.

Beyond the financing side, the closing is conditioned on Nasdaq approving the initial listing of the combined company and on other necessary consents. The target date for completion is October 30, 2026, but that date is an aspiration, not a confirmation that the deal will be executed that day.

Corporate approval does not substitute for a listing decision or for the sign-offs of other parties. The transaction has cleared its shareholder test; its execution still depends on several preconditions. The lender consent, the intended refinancing and the remaining closing conditions are what will determine whether this deal actually gets done — not the calendar entry alone.
