Diginex has cleared one gate on the road to acquiring Resulticks — and only one. A shareholder vote has authorized the transaction, yet the closing remains contingent on outside approvals that no ballot can supply. For investors trying to read the equity, that distinction matters far more than a single session's price action.

The stock added 5.0% on Friday, a move that coincided with the release of the voting results. A firm trading day, however, is not evidence that a pending acquisition will complete. What the filings actually show is a deal that has secured owner consent while still awaiting the sign-offs of creditors and the exchange.

What the Vote Did and Did Not Settle

The results filed Friday document an overwhelming margin in favor of the takeover proposal: 98.8% of votes cast supported it. The accompanying transaction agreements drew 73.7% approval. Those figures speak to the will of the owners — nothing more. The planned purchase still depends on outstanding closing conditions, including required lender consents and clearance of the Nasdaq listing application.

That is not a matter of semantics. A shareholder ballot answers whether the owners say yes. It does not stand in for creditor approvals, nor does it substitute for the exchange's review of the listing request. Anyone weighing the stock should focus on the reach of the resolution rather than its mere existence.

Should investors sell immediately? Or is it worth buying Diginex?

Three Measures, Three Separate Effects

The package shareholders approved bundles several distinct items: the issuance of 600,000,000 shares as consideration, a 10:1 reverse stock split, and an increase in authorized share capital. Each touches a different part of the transaction and its capital structure, and none should be collapsed into a single signal of success.

The authorization to issue 600 million shares to the Resulticks sellers creates the framework for the planned issuance; it is not the same as shares already issued. Likewise, the green light for the reverse split does not mean the consolidation has been carried out — and a reverse split is a separate matter from issuing new stock altogether. Treating the reverse split as proof that the acquisition has closed is no more valid than reading the share-issuance approval that way.

Reading the Financing Figures Correctly

On Wednesday, Diginex disclosed Resulticks' financing details in an SEC filing. Under the Ascertis facility, roughly US$31.8 million remained outstanding against a total commitment of US$40.0 million. Across the Anicut facilities, about US$21.0 million was outstanding.

The size of the numbers is only half the story; their attribution is the other half. Diginex stated that it is not, to date, a party to or guarantor of these facilities. The figures originated with Resulticks and, by Diginex's own account, were not independently verified. From that, no existing obligation of Diginex can be inferred, nor can a fully audited picture of the financing.

There is a further trap in the disclosure. The total size of a facility is not the same as the capital actually outstanding. Diginex gives both measures for Ascertis but only the outstanding amount for the Anicut facilities. Anyone assessing the transaction should keep those different bases apart.

Diginex at a turning point? This analysis reveals what investors need to know now.

The Clock Runs to October 2026

The target closing date for the Resulticks acquisition is no later than October 30, 2026, and completion remains subject to conditions — among them the necessary consents and Nasdaq approval. That timeline, not the latest price swing, is where the real test sits.

The financing disclosure sharpens the economic starting point of Resulticks; the share authorization maps out a central piece of the deal's structure. Both belong in the analysis as pending items, distinct from an acquisition already done. The vote has created a precondition. It has not delivered a closing. Progress from here will be measured at the open conditions and in a financing picture that can be relied upon — which is where the genuine insight lies, not in a retrofitted explanation for Friday's gain.
