Energy Fuels' VAC Purchase Price Could Shift as GM Magnet Dispute Heads to Arbitration
Published on 10/26/2026 at 00:01 | Editorial boerse-global.deEnergy Fuels closed Friday down 2.2% as uranium and nuclear fuel names sagged across the board, with Cameco, Uranium Energy, Denison, NexGen and Centrus all booking losses, according to media reports. But the sharper development for the Colorado-based rare earths and uranium producer sits inside its pending acquisition of VAC, where a customer fight now carries real financial weight.
GM Walks Away, Arbitration Follows
General Motors has terminated its long-term agreement to buy rare earth magnets from e-VAC Magnetics, the US arm of Germany's VAC, Reuters reported. The cancellation has triggered arbitration proceedings. Energy Fuels, which plans to take over VAC from Ara Partners, said the outcome of that proceeding could alter the purchase price.
The company had already flagged the customer dispute roughly two weeks ago in a mandatory disclosure tied to an amendment of the planned VAC takeover agreement. That revision covers the commercial supply contract conflict, a possible settlement, repayment of liabilities and potential purchase price adjustments. Any change to the price tag therefore hinges on how the arbitration resolves — Energy Fuels framed it as a possibility, not a completed adjustment.
Should investors sell immediately? Or is it worth buying Energy Fuels?
A $500 Million Shelf, Not a Cash Injection
Separately, Energy Fuels registered an at-the-market share sales program for up to US$500,000,000 in common stock. The prospectus allows sales to occur from time to time, and the company commits to no specific amount actually being placed. Media reports linked the offering to persistent pressure on the share price. The registered ceiling describes the potential scope of the program, not a reported inflow of capital. It does create an additional financing avenue, though it also carries the risk of diluting existing holdings.
Legal Chief Sets His Exit
On 28 September, Nathan Longenecker notified the company of his planned departure. As chief legal officer and executive vice president, he oversees global government relations. The transition period is expected to end on 15 December 2026, with an earlier exit possible by mutual agreement. Energy Fuels published the personnel change in a mandatory disclosure on 14 October.
Analyst Trims Target
BMO Capital also turned more cautious around two weeks ago, cutting its price target on Energy Fuels from $18 to $14 while keeping its "Outperform" rating.
Investors get their next hard data point after the close on 6 November 2026, when the company is scheduled to report third-quarter 2026 results.
