European Lithium has handed investors two distinct storylines to track: a Greenland permitting win at Tanbreez and a court-sanctioned scheme of arrangement with Critical Metals Corp that will soon reshape the share register. The two threads answer different questions — how the projects are progressing, and what holders of European Lithium stock and options will actually receive — and neither substitutes for the other.

On the ground in Greenland, the company has secured approval of both the mining plan and the closure plan for Tanbreez. That covers two separate regulatory tracks for the project, though it does not signal that production has begun. Exploration work has also moved forward: the 2026 drilling campaign wrapped up with 52 diamond holes totalling 8,385 metres.

Leinster tells a different story. There, European Lithium has completed field mapping and sampling — investigative work rather than a permitting milestone, and not to be conflated with the Greenland approvals.

Weighing on the picture are the ongoing legal proceedings in Ukraine concerning the Dobra deposit. The positive news from Greenland and Leinster does nothing to resolve those questions.

Should investors sell immediately? Or is it worth buying European Lithium?

Financially, the company closed the quarter ended 30 September 2026 with $296.5 million in cash. That figure is a snapshot of the corporate balance sheet, not a guide to what shareholders will pocket from the takeover — the exchange ratio governs the latter, and the two should not be confused.

Two payout formulas, one deadline

Under the merger terms, eligible shareholders are set to receive 0.045 new CRML shares for each European Lithium share. The ratio was fixed at the contractual floor of US$8.00. Eligible optionholders get a different deal: 0.0353158621 new Critical Metals shares per EUR option. Holders of no more than 991 options fall into the small-optionholder category and will instead receive their pro-rata net proceeds from the sale of the shares they would otherwise have been allotted — a sale-dependent payout rather than a fixed cash amount per option.

The legal machinery is already in motion. Lodging the court orders with ASIC made the agreements legally effective, and European Lithium's securities have been suspended from ASX trading. Effectiveness and implementation are separate steps: completion is scheduled for 5 November 2026.

Two dates now anchor the calendar. European Lithium's delisting from the ASX is expected on 6 November 2026, with trading in the new CRML shares on Nasdaq anticipated the same day.

For investors, the takeaway is a clean split between the operational backdrop and the mechanics of the swap. Tanbreez represents approved plans, Leinster completed fieldwork and Dobra unresolved litigation — while the allocation rules for shares and options deserve scrutiny on their own terms.
