European Lithium Edges Higher as Court Puts Merger Vote on the Calendar

The advance follows a 14.7% run-up since the first court hearing in the takeover process roughly a week ago, a stretch that has shifted attention from speculation to procedure.
At the heart of the transaction is a binding agreement struck on May 18, under which Critical Metals Corp will absorb all issued ordinary shares and all listed options of European Lithium. The deal is structured as a pure share exchange and carries a total value of USD 835 million. Media reports indicate an exchange ratio of 0.025 to 0.045 CRML shares for each EUR share, with existing holders receiving new Critical Metals stock in return. Once completed, former European Lithium investors are expected to hold roughly 41% of the merged entity.
Two Interlocking Schemes, One Decisive Vote
The handover is being executed through a pair of interdependent schemes of arrangement, the mechanism Australian law provides for deals of this kind, designed to ensure the full transfer of holdings into the new corporate structure. The Supreme Court of Western Australia has ordered the convening of meetings for both ordinary shareholders and option holders, clearing the way for a legally binding ballot on the all-stock merger. Voting materials have already been dispatched to security holders.

A Second Court Hurdle Before Completion
Additional legal steps remain before the deal can close. Beyond the resolutions passed at the meetings, a further confirmation from the competent Australian court is compulsory. Only after this second judicial review can the transaction take legal effect.
Assuming all approvals are secured, implementation of the arrangements is targeted for November 2026, which would see the combination take effect before year-end and bring the project to a scheduled conclusion.
Despite the recent daily swings, the stock has climbed 155% since the start of the year. The coming weeks should clarify whether the intended ownership structure and the full integration into Critical Metals materialize as planned, with the October 22, 2026 vote standing as the key date determining the fate of the USD 835 million deal.
