European Lithium's Deal Math Is Settled for Shareholders — Option Holders Are Still Waiting on Their Number

European Lithium has cleared its shareholder ballot with a margin few deals can match, but the vote papers over a distinction that matters more than the headline number: the consideration for its listed options has yet to be priced.

Holders of the company's ordinary shares already know what they are due under the planned acquisition by Critical Metals Corp. — 0.045 new Critical Metals shares for each European Lithium share, subject to completion and rounding. Option holders, by contrast, are still waiting for their final terms.

A Ratio Fixed by Contract, Not by Progress

That 0.045 figure is not a judgment on the Koralm lithium project. It is the top end of the variable exchange mechanism, triggered because Critical Metals' 20-day volume-weighted average price sat at or below the US$8.00 floor. The maximum ratio follows mechanically from the deal's contractual terms — it is no evidence that development at the project has accelerated.

The distinction carries weight for anyone valuing the stock. The ratio describes what shareholders are slated to receive in shares if the transaction closes. It says nothing about when the Koralm asset reaches production, which media reports on Wednesday still placed years away, with further planning and permitting work outstanding. A completed takeover would be a corporate milestone, not a starting gun for mining.

Should investors sell immediately? Or is it worth buying European Lithium?

Overwhelming Support, Two Different Questions

At the ballot, 99.96% of votes cast backed the share scheme, while the option scheme drew unanimous approval. The proposed acquisition covers all issued shares and listed options of European Lithium.

Those majorities are a genuine signal of backing for the agreed structure. They do not substitute for the steps still outstanding — and they do not answer the same question as either the court's approval or the separate announcement on option consideration.

The Supreme Court of Western Australia will hear the application for approval of the share and option schemes on 26 October 2026 from 10:00 AWST. European Lithium expects to disclose the final consideration for the listed options around 28 October. One date concerns the legal sanctioning of the schemes; the other fleshes out the economics for a distinct class of security holder. Treating the court hearing as the whole story, or the option announcement as an afterthought, misreads where the transaction actually stands.

Nor can the fixed share ratio simply be read across to the options. European Lithium has committed to a dedicated announcement for that group, and until it lands, the gap between the two remains the key to a sound reading of the deal.

The takeaway is deliberately two-sided. Support for the transaction is broad and the share consideration is locked in. But the takeover process is not equally concrete for every security holder — what counts is the terms that apply to each, and whether they are delivered.
