The final stretch of European Lithium's takeover by Critical Metals Corp is taking shape, with the two companies fine-tuning the administrative plumbing of the deal even as the Greenland rare-earth prize at its centre draws sharply divergent verdicts from Wall Street.

A fresh application to the Australian Securities Exchange for the quotation of 193,019 new fully paid ordinary shares — stemming from the exercise or conversion of existing options and convertible instruments — underscores the ongoing capital-structure adjustments ahead of the scheme's implementation. The paperwork is part of a broader effort to smooth the path for a transaction that has been in motion since the definitive agreement was struck in July.

A Sale Facility for the Small Fry

The key innovation in the amended Scheme Implementation Deed, signed in early July, is a sale facility designed for shareholders and option holders with modest positions. Rather than forcing every retail investor through the full mechanics of the scheme, those with small holdings will have the option to convert their stakes into cash net proceeds. It is a pragmatic response to the logistical headache of herding thousands of small investors through a corporate action.

The commercial heart of the deal, however, remains untouched. The exchange ratio holds firm at 0.035 Critical Metals shares for every European Lithium share, a transaction the company values at roughly A$0.58 per share — a 137 percent premium to the weighted average price before the deal was announced. Upon completion, existing European Lithium shareholders are slated to own approximately 41 percent of the merged entity's outstanding ordinary shares, with the combined group's focus squarely on the Tanbreez rare-earth project in Greenland, which Critical Metals will take to 100 percent ownership.

The Clock Is Ticking

The timetable is now firming up. The scheme booklet, complete with an independent expert's report, is expected to be dispatched to shareholders in late July or early August. Meetings are pencilled in for late August, with implementation targeted for early September — subject to shareholder and option holder approvals, court sanction, and the satisfaction of remaining conditions.

Should investors sell immediately? Or is it worth buying European Lithium?

Investors holding 50,000 or fewer shares or options at the relevant record date will be eligible to participate in the separate sale facility.

Signals from inside the company have been broadly encouraging. Around July 24, several directors exercised options at A$0.08 per share — well below prevailing market levels — a move widely read as a vote of confidence in the deal's trajectory.

Institutional Money Lines Up

External validation has arrived in the form of Weiss Asset Management, which disclosed a substantial holding in late July. The Boston-based firm and its affiliated entities reported owning 87,349,781 shares, representing a 5.06 percent voting interest. A further crossing of a substantial-holding threshold followed in early August. Such accumulation by institutional investors in the run-up to a scheme vote is typically interpreted as a bet on successful completion.

The market's mood has been characteristically volatile. The stock recently traded at €0.1898, up 8.1 percent over seven days and 109 percent higher on a twelve-month view. Yet the shares remain 38 percent below their 52-week high of €0.3055, reached in early June — suggesting the market has yet to fully price in the deal's consummation. With a market capitalisation of approximately €327.32 million, European Lithium is, for many, a pure play on the transaction closing on schedule.

A Tale of Two Ratings

The picture is more complicated at the asset level. Critical Metals has engaged Clear Street as financial adviser and White & Case as legal counsel to explore strategic alternatives for Tanbreez, including potential asset sales, spin-offs, or joint-venture partnerships.

The strategic review lands amid conflicting analyst calls. Freedom Broker downgraded Critical Metals from Buy to Hold on Tuesday, slashing its price target from US$17.00 to US$8.00, citing delays in Tanbreez's development — first concentrate production is now not expected until 2030. Cantor Fitzgerald struck a very different note the same day, initiating coverage with a speculative Buy rating and an US$18.00 price target, pointing to the resource's growth potential.

European Lithium at a turning point? This analysis reveals what investors need to know now.

Adding a geopolitical layer, reports have emerged that Japan may explore rare-earth opportunities in Greenland between July and August — a development that could influence Tanbreez's strategic valuation.

The Bottom Line

European Lithium shares slipped 6.7 percent on Thursday to €0.1770, extending a softer patch that has seen the stock give back 11 percent over the past month. But the twelve-month picture tells a different story: a 273 percent gain, a testament to the takeover premium that has underpinned the stock through most of the year.

For retail holders, the sale facility is the practical takeaway — a mechanism that makes the exit process manageable for smaller investors. The underlying logic of the deal, however, remains unchanged: full control of Tanbreez for Critical Metals, and a September date with destiny for European Lithium's shareholders.
