The Supreme Court of Western Australia has ordered the company to convene meetings of both its shareholders and its option holders, and has cleared the release of the Scheme Booklet — the formal document that puts the decision in the hands of security holders.

That outcome carries its own sting. A significant portion of this year's share price gains rests on the advances made in the takeover agreement. Should ordinary shareholders side with the expert's "not fair" finding and reject the swap, that driver disappears — and the company would have to pursue its next steps without the planned integration into its suitor.

The Calendar That Decides Everything

The schedule is tightly drawn and depends entirely on the shareholder base. European Lithium's shareholders and option holders are due to vote on the schemes on 22 October 2026. According to media reports, the provisional timetable calls for a second court hearing on 26 October 2026.

If the vote passes, trading in European Lithium's securities on the Australian Securities Exchange is set to be suspended on 27 October 2026. The newly issued Critical Metals shares are then expected to debut on the NASDAQ on 6 November 2026, with full implementation of the transaction slated for completion during November 2026.

As long as Critical Metals' listing supports the valuation and the board's recommendation holds, the takeover blueprint is likely to set the direction. But if shareholder approval falters or the buyer's share price comes under pressure, the whole plan could unravel.
