European Lithium Sets October Court Date as Critical Metals Merger Conditions Fall Into Place
Published on 10/19/2026 at 10:50 | Editorial boerse-global.deEuropean Lithium has locked in the timetable for its absorption by Nasdaq-listed Critical Metals Corp. (CRML), with the Supreme Court of Western Australia scheduled to convene a second hearing on 26 October 2026 to rule on the scheme of arrangement. The court session, set to begin at 10:00 AWST, marks the last major legal checkpoint before the transaction can close.
Under the proposed deal, Critical Metals would acquire the entire issued share capital of European Lithium along with all of its listed options, folding both businesses under a single corporate roof.
Ballot Precedes Courtroom Test
Before the judge weighs in, security holders get their say. The scheme meeting for shareholders is slated for 22 October 2026 at 10:30 AWST, with the options holders' gathering following immediately at 11:00 AWST, or once the shareholder meeting wraps up. Voting materials for the merger were dispatched roughly a month ago, though the approvals needed to complete the deal remain outstanding.
The court's sign-off is conditional on all requisite consents having been secured and every condition satisfied beforehand. Dissenting parties retain the right to object, but any challenge must be lodged and formally served on European Lithium no later than one day before the hearing. Should the necessary conditions go unmet by the stipulated deadlines, the court review could be pushed back.

Conditions Ticking Off One by One
Progress on the contractual front has been steady. European Lithium confirmed that the minimum cash balance requirement tied to completion is currently satisfied. The so-called Millstone condition has likewise been met, following an adjustment agreed a little over three weeks ago.
There has been movement on the unlisted options as well: the company partially waived its original requirement in that area. Management said it sees no obstacles standing in the way of the remaining agreements being fulfilled.
External validation remains intact. The independent expert commissioned to assess the transaction has neither altered nor withdrawn its earlier conclusion.
Share Register and Market Snapshot
Separately, European Lithium lodged an application on 12 October to have securities admitted to trading.
The stock closed Friday at EUR 0.2335, up 158% since the start of the year. At that level, the company carries a market capitalisation of roughly EUR 415.07 million. An earlier reading put the share price at EUR 0.2325, with a year-to-date gain of 157%.
Whether the full integration into Critical Metals Corp. goes through will be settled by the holder vote and the court's ruling in the coming week.
