Evonik Draws a Line at Talks With BASF While Analysts Reward Earnings, Not the Stock

Evonik has made plain what it will and will not discuss with BASF. On 30 October the executive board decided against entering takeover negotiations, while signaling a willingness to hold purely informational and confidential exchanges. For investors the distinction carries weight: an open channel is not an endorsement of a deal.

The decision followed a review of a letter from BASF SE dated 22 October. Evonik turned down the start of takeover talks — not every form of contact. Both halves of the statement belong together and should not be conflated.

Nothing in the readiness to talk points to an agreed transaction or an active takeover process, just as the board's stance does not amount to a full break in contact. The framework the board described stays confined to informational and confidential discussion. Any such exchange therefore has to be assessed separately from the operating business — the statement to BASF offers no evidence of an imminent takeover.

A 40% Earnings Jump Sets the Valuation Backdrop

The operating picture is a valuation factor in its own right. Evonik reported third-quarter 2026 adjusted EBITDA up 40% to EUR 629 million, measured against the prior-year quarter. Revenue for the same period rose 13% to EUR 3.825 billion, so the adjusted operating result grew faster than sales.

Should investors sell immediately? Or is it worth buying Evonik?

That adjusted figure does not tell the whole story. A gap remains between the operating metric and the result after all charges: the bottom line showed a net loss of EUR 53 million.

For the full year, Evonik expects adjusted EBITDA in the upper half of its EUR 2.0 billion to EUR 2.2 billion range — a company forecast, not a result already booked. The earnings trend supports the valuation, but it neither substitutes for an independent read on possible transaction talks nor turns a confidential exchange into a takeover negotiation.

Two Banks, Two Conclusions

Analyst reactions to yesterday's quarterly figures diverged. Berenberg today raised its price target to EUR 22.50 from EUR 20.00, according to media reports, while keeping its rating at "Hold." Deutsche Bank Research also stayed at "Hold" and left its target at EUR 18.

The shared rating masks a real difference: only one of the two houses moved its target higher, and Berenberg explicitly tied the increase to a continued "Hold." No upgrade to a buy recommendation came from either side.

The stock gained 2.2% today, so the advance is not accompanied by a buy call from either bank. Investors would do well to keep the positive price move apart from the unchanged investment verdicts.

Evonik at a turning point? This analysis reveals what investors need to know now.

What the Numbers Do and Do Not Signal

The earnings increase provides concrete context for today's analyst moves, yet the two houses drew different consequences for their targets. Taken together, the assessments do not amount to a uniform signal of a higher valuation.

Beyond the quarter, the guidance sharpened yesterday shifts the focus to the expected full-year development. That makes the analyst response easy to pin down: Berenberg set a higher target after the figures, but neither house upgraded its recommendation. What remains decisive is the separation between improved operating earnings, a still-negative net result and the expressly limited scope of the BASF talks.
