Heidelberg Materials has closed the chapter on its share repurchase program and opened a new one in northern Europe, agreeing to acquire the Swedish and Norwegian aggregates and asphalt operations of construction group NCC AB through its Heidelberg Materials Nordics subsidiary.

The enterprise value of the transaction, adjusted for cash and financial debt, comes to roughly SEK 5.5 billion. The package covers 106 aggregates sites and 44 hot-mix asphalt plants across the two Scandinavian countries, extending the group's production network in markets where infrastructure development has held up comparatively well. Completion remains subject to regulatory approval. According to media reports, NCC's remaining operations in Denmark and Finland are going to rival building materials producer CRH.

The deal follows a deliberate tidy-up of the company's capital structure. Roughly two weeks ago, Heidelberg Materials wrapped up the third and final tranche of its buyback program, repurchasing 2,739,278 shares for about EUR 448 million. With that program now retired, free cash is being redirected toward the operating business — value-accretive acquisitions and the strengthening of existing sites rather than further support for the share price. Since the buybacks ended, the stock has shed 2.2 percent.

Should investors sell immediately? Or is it worth buying Heidelberg Materials?

Analysts Split on Timing, United on Direction

RBC Capital Markets upgraded the shares on Friday from "Sector Perform" to "Outperform," though it trimmed its price target to EUR 211 from EUR 217. The Canadian bank pointed to an expected recovery in European construction activity in 2027 alongside the group's recent operational momentum. It also flagged cost inflation, muted hopes for residential construction demand and weather-related drag in the summer quarter. Deutsche Bank, for its part, reiterated its buy recommendation while likewise lowering its target.

Industry watchers caution that conditions for European construction will only brighten meaningfully over the medium term. Until then, demand for building materials across much of the continent is expected to stay subdued, keeping the sector's recovery story a slow-burn one.

Market Awaits November Trading Update

The equity has borne the brunt of those macro worries. Year to date, the stock is down 36 percent, and it trades 21 percent below its 200-day moving average. The most recent session closed at EUR 142.75, with an earlier reading putting the price at EUR 143.05.

Investors will get their next hard look at the operating picture on 4 November 2026, when Heidelberg Materials publishes its third-quarter trading update and management hosts a conference call to walk through the figures and frame the market backdrop. Beyond the headline numbers, attention is likely to center on guidance for the final quarter and on how the Nordic assets are being folded into the group. Whether the recent moves are enough to steady the earnings base in a demanding environment is the question the update will begin to answer.
