Hensoldt's Supervisory Board Chairman Sells Shares as the Defence Stock Tests a Critical Technical Floor

Hensoldt shares trade near key support after insider sale, despite record backlog and raised guidance; Q3 results due Nov 5.

The timing could hardly have been less auspicious. On 17 August, Reiner Winkler, chairman of Hensoldt's supervisory board, offloaded 10,000 shares at €94.71 apiece, pocketing roughly €947,000. The transaction surfaced a day later via the mandatory disclosure — and the stock has been sliding ever since.

At current levels around €79.50, the shares now trade roughly 32 percent below the 52-week peak of €117.70 reached in October of the previous year. The recent weekly decline of 6.8 percent underscores a market that, for now, appears unwilling to reward operational strength.

Insider selling, of course, is rarely a clean signal. Directors dispose of equity for any number of personal reasons, and a single transaction of this size says little about the underlying health of a defence electronics group with a record order book. Yet when the head of the oversight body chooses to trim exposure just as the stock has fallen sharply from its highs, it hardly reads as a vote of confidence in a swift rebound. It is not a reason to panic — but it is another piece in a puzzle that looks increasingly conflicted.

The Numbers Tell a Different Story

That conflict sits at the heart of the current predicament. Strip away the share price and the operating picture is remarkably robust. First-half 2026 revenue grew 24 percent to €1.17 billion, while order intake more than doubled from €1.41 billion to €2.81 billion. The backlog has climbed to a record north of €10 billion. Adjusted EBITDA rose from €107 million to €137 million, with the corresponding margin improving from 11.3 percent to 11.8 percent.

Management reaffirmed its full-year guidance at the end of July: group revenue of approximately €2,750 million, a book-to-bill ratio between 1.5 and 2.0, and an adjusted EBITDA margin of 18.5 to 19.0 percent. Earlier, in early June, the company had lifted its adjusted free cash flow forecast to roughly 50 percent of adjusted EBITDA, up from around 40 percent, citing higher customer prepayments and faster procurement cycles.

Should investors sell immediately? Or is it worth buying Hensoldt?

The second quarter alone brought in €671 million in revenue. And on the commercial front, momentum persists: a series contract from the Bundeswehr's procurement office, BAAINBw, awarded in early August for equipment supporting dismounted joint fire support teams, demonstrates that order intake is translating into tangible contracts. A deepening partnership with Rheinmetall — highlighted in mid-August by a successful demonstration of passive sensor technology integrated into a modern air defence system — further cements Hensoldt's position as a supplier to complex defence platforms.

Technicals Tell Another

None of that has been enough to steady the ship. The stock has slipped below its 50-day moving average of €82.82, a sign that the near-term trend points lower. The relative strength index, at roughly 35.5 to 35.7 depending on the calculation, suggests selling pressure remains dominant without yet reaching oversold territory that might signal an imminent bounce.

The one bright spot on the charts is proximity to the 200-day moving average of €79.60. The shares hover almost exactly at that level, which chart-watchers widely regard as a critical support zone. A hold above it keeps the case for technical stabilisation alive; a decisive break below would open the path toward the 52-week low of €63.12, a level only tested this summer.

Momentum, meanwhile, has been brutal. The stock has lost double digits over the past 30 days, a pace that points more toward a broad sector repricing than company-specific distress. Annualised volatility of 39 percent serves as a reminder that sharp swings should be expected in both directions.

Diverging Views on the Path Forward

The analyst community is split on what comes next. Morningstar upgraded the stock to "Buy" in early September, setting a fair value estimate of €92.63 — comfortably above the prevailing price of €79.70 at the time. JPMorgan, for its part, raised its price target, though that did little to arrest the decline.

The next catalyst arrives on 5 November, when Hensoldt reports third-quarter numbers. If management again confirms its annual guidance and demonstrates continued progress on orders and margins, the gap between analyst targets and market reality could narrow. Should the guidance falter or revenue disappoint, the technical weakness would gain fundamental backing, and the current 32 percent gap to the high could widen further.

For now, the stock sits at a fault line: just under the 50-day average but almost exactly on the 200-day line. The oversold RSI reading hints that selling pressure may be abating, and the fundamental story — record backlog, raised cash flow guidance, and a defence spending environment that remains supportive — offers bulls a coherent narrative.

The Winkler sale and the subsequent share weakness suggest sentiment is dominated by shorter-term doubts, whether valuation concerns following a multi-year rally or broader nervousness across the defence sector. Both the cautious and the constructive camps can marshal credible arguments. The market, for the moment, is not picking a side — and the November numbers may well determine which one ultimately wins the argument.
