ITM Power has given investors two calendar entries to circle: a general meeting in Sheffield on 13 November 2026, starting at 10:00, and the expected admission of 299,638 ordinary shares at or around 28 October 2026. Both announcements landed today, and both are administrative in nature. Neither tells you anything new about whether the hydrogen specialist can turn a growing order book into a profitable business.

The block listing covers shares with a nominal value of ÂŁ0.05 each, reserved for awards under the company's Deferred Bonus Plan. ITM Power first flagged the application on 21 October; today's statement simply pins down the expected effective date. It describes a step still to be completed, not one already in the books. Anyone reading it as evidence of commercial momentum is looking at the wrong page.

A Report, a Meeting, and a Reminder of What Matters

Alongside the block listing notice, the company published its annual report and accounts for the financial year ended 30 April. That gives shareholders the full picture ahead of the November gathering — and the full picture is a familiar one of strong top-line growth set against continuing losses.

Revenue for fiscal 2026 came in at ÂŁ43,647 million, up 68% year on year. The adjusted EBITDA loss was ÂŁ20.2 million, and the net loss reached ÂŁ24,992 million. At the close of the year, ITM Power held ÂŁ215.6 million in cash and carried an order book worth ÂŁ144 million.

Should investors sell immediately? Or is it worth buying ITM Power?

Those four figures describe four different things, and conflating them is where valuations go wrong. An order book is not booked revenue. Cash is not profit. A 68% revenue jump is a genuine achievement, but it is a stage of the journey rather than the destination — growth and profitability are separate milestones, and the company has cleared only the first.

From Heads of Terms to Final Investment Decision

The more instructive signal on that journey came roughly a fortnight ago, when subsidiary Hydropulse disclosed a heads of terms agreement with a European oil refinery for a 150 MW green hydrogen project. A joint technical pre-front-end engineering design study is now underway, with a final investment decision targeted for 2027.

That sequence is the whole investment case in miniature. A heads-of-terms deal is progress. It is not a final investment decision, and the launch of preliminary planning does not remove that caveat. The gap between a planned hydrogen project and a signed, funded one is bridged by a series of binding steps, and ITM Power has taken only the first.

Today's share price reaction — a gain of 3.2% — does not substitute for evidence of operational delivery. Nor does the density of corporate announcements. What will actually move the needle is progress that narrows the distance between project planning, the order book and the income statement.

The Yardstick to Watch

So the near-term diary is set: shareholders meet in Sheffield on 13 November, and the bonus-plan shares should be admitted around 28 October. Neither event alters the results already reported. The annual report now on the table gives investors the material to judge the business on its merits, and the meeting gives them the forum.

The measure that matters remains conversion. Until more of that ÂŁ144 million order book turns into revenue and the ÂŁ20.2 million adjusted loss begins to close, the formal milestones will keep arriving faster than the financial ones.
