ITM Power shareholders have approved every resolution put to them at the company's general meeting, granting the board authority to allot shares and to disapply pre-emption rights. The vote expands the legal room the company has to manoeuvre. It does not, by itself, put a single pound of new money on the balance sheet.

That distinction sits at the heart of how investors should read the outcome. An approved allotment power is not a completed capital measure, and the authority to set aside pre-emption rights does not mean new shares have already been issued on those terms. Anyone inferring an imminent cash injection or a wave of fresh orders from the ballot is skipping the step between permission and execution.

The share price moved higher on the day, though the two accounts of the session differ: one records a gain of 3.1%, the other 4.3%. Neither links the advance to the vote, and no causal connection has been established.

Paper Authority, Not a Cash Event

What the resolutions deliver is scope — the board's ability to act if and when it chooses. Whether and how that scope gets used is a separate question, and one that deserves its own scrutiny. Shareholder consent is a precondition for a capital move, not an economic result in itself.

Should investors sell immediately? Or is it worth buying ITM Power?

The operating backdrop comes from the annual figures published on 19 October. Revenue reached £43.6 million, up from £26.0 million a year earlier. The adjusted EBITDA loss narrowed to £20.2 million from £33.0 million — real progress on earnings, but still a loss rather than a profit on that basis.

Cash stood at ÂŁ215.6 million at the close of the financial year on 30 April 2026. That figure included a Great British Energy investment of more than ÂŁ40 million. It is a point-in-time snapshot, not a running tally of today's bank balance, and it owes nothing to this week's vote.

A Broker Trims Its Target

The timing question loomed larger after 22 October, when Peel Hunt reportedly cut its price target on ITM Power to 88 pence from 92 pence, citing hydrogen project schedules running slower than expected. The move was a target reduction, not a change of recommendation — a distinction that matters. It speaks to valuation against delayed project rollouts, and it cannot be stretched into either a full rejection of the company or an explanation for the day's share movement.

Two facts can coexist without cancelling each other out: the company has more financial headroom, and its projects are taking longer to land. One does not erase the other.

Options Add Another Layer

Separately, on 28 October, ITM Power disclosed that previously granted options under a long-term incentive plan had vested for CEO Dennis Schulz and CTO Simon Bourne. The awards cover 431,157 options at an exercise price of £0.05 per ordinary share. Vesting is not the same as exercise, and exercisability is not the same as exercised. Shareholders are left weighing three distinct threads — trading performance, share authorities and remuneration instruments — on their own merits.

ITM Power at a turning point? This analysis reveals what investors need to know now.

What the Coming Year Must Prove

Management's own targets now set the bar. For the 2027 financial year, ITM Power is guiding to revenue of £50 million to £60 million — a forecast, not booked business. It also continues to expect an adjusted EBITDA loss, projected at £17 million to £20 million, so the intended improvement does not yet mean crossing into profit.

A further general meeting has been announced for 13 November 2026 in Sheffield.

The takeaway is plain enough. This week's approval is one building block of financial capability, not evidence of an accelerating business. The more telling signals will come from how the revenue plan is executed and how the losses evolve. Those are the yardsticks against which the extra headroom should be measured — not the applause of a single trading session.
