Oberbank has exercised subscription rights in Lenzing's capital increase, according to a mandatory disclosure published today. The transaction was executed on Thursday. It is a concrete purchase report, distinct from the settlement of the capital increase scheduled for 23 October 2026.

The distinction matters. A single institution exercising its rights is not the same event as the completion of the entire capital measure, and the disclosure offers no indication of how much of the remaining issuance has been subscribed. What it does provide is one documented building block of participation in the financing — not proof that the whole process is finished, and not on its own evidence of any operational improvement at the company.

Board members also took up their rights

Oberbank was not alone. Members of Lenzing's management board also participated by exercising subscription rights, with corresponding mandatory disclosures for Georg Kasperkovitz and Christian Skilich. Both transactions were dated 12 October. Read together, the filings show different parties taking part in the same capital measure — and in each case what was reported was the exercise of rights, not an independent purchase of shares on the market.

The financing itself was announced roughly three weeks ago and carries a gross proceeds target of about EUR 300 million. It is fully underwritten. The terms call for 34,756,362 new shares at a subscription price of EUR 8.65 apiece. Lenzing has said the money will serve its "Grow Nonwovens, Reset Textiles" strategy and strengthen the capital structure.

Should investors sell immediately? Or is it worth buying Lenzing?

A defined purpose, judged on two separate tracks

That gives the raise a stated purpose, though investors still have to assess fundraising and operating performance on separate tracks. The intended use of proceeds describes strategic direction; results must be measured against how well that strategy is executed. An underwriting guarantee says nothing about future business performance.

The subscription period ends today. Lenzing has also scheduled an international private placement for today to cover any new shares left unsubscribed. Both steps belong to the processing of the financing announced three weeks ago and should not be conflated with a completed transaction already on the record.

Berenberg's objection was never about the balance sheet

The operational question hanging over the stock predates the raise. Berenberg downgraded Lenzing from "Buy" to "Hold" roughly three weeks ago and cut its price target to EUR 17.00 from EUR 29.50. Analyst Sebastian Bray cited, among other things, that higher cotton and viscose prices had not flowed through to earnings to the extent expected.

His argument concerns something other than capital adequacy. More financial headroom and better earnings are not the same thing, and keeping the two apart is essential to any reading of the equity story: the purpose of the financing on one side, the transmission of higher prices into results that Bray flagged on the other.

Lenzing at a turning point? This analysis reveals what investors need to know now.

The calendar's next marker comes with a caveat

Trading in the new shares is due to begin on 23 October 2026, the date also set for settlement of the capital increase. That date is explicitly conditional on the capital increase being entered in the commercial register.

So the next announced step concerns the capital measure first. The operating yardstick stands apart from it: Lenzing intends to deliver on its strategy, while the earlier analyst criticism targeted the earnings impact of pricing. For investors, the financing supplies one input for judging the company — not a substitute for looking at the business itself.
