Lenzing's Board Backs the Raise While the Market Waits for Proof on Pricing Power

Lenzing insiders exercised subscription rights in the €300 million raise, but Berenberg's downgrade puts the focus on whether higher fibre prices reach earnings.

Two board members of Lenzing have put their own money behind the company's capital increase, exercising subscription rights on 12 October. The mandatory disclosure of the transaction was published on Tuesday, and supervisory board member Christian Skilich also reported an acquisition through the exercise of rights. It is a show of commitment to the financing package — nothing more. It says nothing about what the next set of results will contain.

That distinction matters, because the central question hanging over the Austrian fibre maker is not whether the €300 million gross proceeds will arrive. It is whether higher fibre prices will finally start showing up in the bottom line.

Berenberg's yardstick

Berenberg laid out the test on 2 October. Analyst Sebastian Bray cut the stock from "Buy" to "Hold," citing among other things the failure of rising cotton and viscose prices to feed through to earnings as expected. The capital increase and Suzano's stake plans added to the caution. The price target came down from EUR 29,50 to EUR 17,00.

That downgrade supplies a concrete benchmark for the next round of scrutiny: the price environment alone is not the issue — its translation into Lenzing's results is. If higher prices begin to land more visibly in the numbers, a key plank of the bear case weakens. If the pass-through stays absent, a stronger balance sheet will not by itself prove that profitability has improved. Management's subscription exercise cannot pre-empt that verdict.

Should investors sell immediately? Or is it worth buying Lenzing?

The mechanics of the raise

The fully underwritten cash capital increase is designed to bring in roughly EUR 300 million gross. Some 34,756,362 new shares are on offer at a subscription price of EUR 8,65 — a level the company said was 42,50 percent below the theoretical ex-rights price. The subscription ratio is 10:9. The B&C Group and Suzano have both committed to exercising their rights pro rata, which sharpens the predictability of the transaction.

The subscription period is scheduled to run through 20 October inclusive, with an international private placement of unsubscribed shares slated for the same day. Delivery and the start of trading in the new stock are expected from 23 October, subject to the capital increase being entered in the commercial register. Announced terms, in other words, are not the same as a completed transaction — the guarantee does not remove the remaining procedural steps.

Denim as an operating hook

On the commercial side, Lenzing said on 5 October that it had brought the REMOD collection to market with Japanese denim maker Kaihara Corporation. At the same time, the partner network for TENCEL Lyocell HV100 has grown to nearly 50 weaving mills across 13 countries, and the company announced a third group of production partners. A presentation at Kingpins Amsterdam was scheduled for 14–15 October, so the Kaihara tie-up sits within a wider showcase of the collection and the expanded network rather than standing alone.

What is documented is the broadening of the partner circle. What cannot be quantified is any revenue or earnings contribution arising from it. More contacts are not the same as more profit, and investors will eventually want to see the commercial effect rather than the headcount of mills.

Two clocks, one verdict

The financing and the product initiative run on separate timelines and should be judged separately. A fully backed raise does not resolve the earnings weakness Berenberg flagged, and a growing partner network does not by itself improve the economics. The constructive case rests on the two reinforcing each other: financial security paired with visible operating progress. The pessimistic case is that the network keeps expanding while the translation into earnings stays weak — leaving the original objection intact.

Lenzing at a turning point? This analysis reveals what investors need to know now.

Friday's share price move of -3,6% has no established link to the denim initiative; no concrete trigger for that session's decline can be derived from the network expansion.

The next hard data point arrives on 5 November, when Lenzing is scheduled to report third-quarter 2026 results, according to its financial calendar. That is when the gap between business initiatives and actual earnings — the distance Berenberg measured — will be there for everyone to see.
