Lumentum's Stock-Swap Math Now Ties Its Fate to Marvell's Share Price

Lumentum shares rose 6.6% Friday, but with a fixed 4.500 Marvell share exchange and a 2028 close, valuation hinges on Marvell and delivery.

Lumentum shares climbed 6.6% on Friday, riding a broader recovery in semiconductor and AI-related names. Media reports credited the rebound in Marvell as well as Lumentum's own business figures for the lift. But the day's move is less interesting than the structure it sits on: under the all-stock deal announced Monday, Lumentum has effectively become a wager on two companies at once.

The mechanics are straightforward. Marvell and Lumentum agreed to a full share-for-share transaction in which Lumentum holders would receive 4.500 Marvell shares for each of their own. On that basis, the companies pegged Lumentum's enterprise value at $115 billion. The operative word is "derived." With a fixed exchange ratio, the calculated consideration moves with the buyer's share price, so anyone assessing Lumentum has to keep one eye on Marvell. That linkage, according to media reports, was part of what drove Friday's recovery after the sharp selloff.

A Deal That Waits Until 2028

Closing is expected in the first half of calendar 2028, subject to shareholder approval, regulatory clearances and other customary conditions. Until then, the agreed exchange remains contingent on a completion that has not yet happened. For investors, two valuation questions now run in parallel: how Lumentum's business develops, and what the market pays for the Marvell shares on offer. A convincing verdict needs both answers.

The operating side offers plenty of ammunition. In the first quarter of fiscal 2027, revenue reached $1.2626 billion, up 136.5% year over year. For the second quarter, Lumentum guided to revenue of $1.575 billion to $1.625 billion. Add to that commitments of more than $5 billion for the second major NPO/CPO order, per company statements — a further signal of demand that, together with the outlook, forms the business baseline against which progress will be measured. The guidance remains a company expectation, not a result.

Should investors sell immediately? Or is it worth buying Lumentum?

Profitability is part of the picture too. Lumentum reported non-GAAP diluted earnings per share of $4.57 for the first fiscal quarter and guided to $5.90 to $6.20 for the next one.

B. Riley Steps Back

Not everyone reads the setup as a buying opportunity. On Tuesday, B. Riley Securities downgraded Lumentum to Neutral from Buy and cut its price target to $770 from $1,142. Analyst Dave Kang cited limited upside under the agreed Marvell terms.

That call gets at the heart of the new valuation reality. Strong business numbers and capped share-price potential can coexist when a fixed exchange ratio governs the calculated consideration. The analyst's focus has shifted to the transaction's terms rather than operating growth alone. The downgrade, coming after the company's announcements, argues for restraint in judging the stock until the next round of operating confirmation arrives.

High growth on its own does not settle the valuation question. Investors must also weigh the conditions under which they would participate in that growth. Friday's rebound shows how tightly these layers are now intertwined — Marvell's recovery narrowing the discount to the deal's calculated value, and the business figures lending support at the same time.

The conclusion is operationally confident but valuation-cautious. Lumentum's growth numbers justify attention, provided the company delivers on its guidance. How attractive the offered consideration turns out to be will be decided by Marvell's valuation and by a successful closing. That, rather than the strength of any single trading day, is the yardstick for the stock's next phase.
