A single trading session can tell you plenty about sentiment and almost nothing about value. Marvell Technology offered a neat illustration this week: the stock climbed 6.2% as semiconductor names recovered from a sharp sector-wide selloff, yet the more consequential development came from the research desk, where Zbigniew Budzinski flipped his rating from Sell to Buy.

That upgrade rests on upgraded forecasts for fiscal 2028 and fiscal 2031, together with a substantial Google order for custom silicon. Budzinski's fair-value work puts the standalone business — that is, Marvell without Lumentum — at $187.35 per share. Fold in the planned acquisition and his valuation rises to $199.48, implying upside of 37–47% against the price at the time. The fact that most of that value sits in the standalone operation is the heart of the thesis: Marvell has to earn its re-rating through its own commercial performance, not through financial engineering.

A Sector Tailwind Meets a Company-Specific Test

Friday's advance, as reported in the media, reflected a broader return of investors to chip stocks after the previous session's weakness — a slide attributed to political worries and uncertainty surrounding the Lumentum transaction. Marvell moved with that tide, which makes the shares a useful case study in how industry mood and company risk interact.

Sentiment can carry a stock for a while. It cannot underwrite a $115 billion deal. The agreement, struck this week, is an all-share affair: Lumentum holders will receive 4.5 Marvell shares for each of their own, lifting Marvell's share count by roughly 50%. Management expects annual cost synergies above $1 billion and higher adjusted earnings per share in the first year after closing.

Should investors sell immediately? Or is it worth buying Marvell Technology?

TD Cowen is not persuaded. On Tuesday the firm cut Marvell from Buy to Hold and halved its price target from $350 to $175, citing expected earnings dilution from the Lumentum deal and the timetable attached to it. That is the crux of the valuation argument: the company's own synergy guidance now serves as a demanding benchmark, and the skeptics carry weight as long as execution could fall short of it.

Closing is targeted for the first half of calendar 2028, subject to shareholder and regulatory approval. Between announcement and completion lies a long implementation window — a time factor investors should price in, since the promised benefits remain contingent on completion and on their subsequent delivery. The strategic logic of wiring optical connectivity more tightly into AI infrastructure argues for the combination, provided it generates enough incremental profit to justify the shares issued.

The Next Hard Data Point

Against that backdrop, the near-term yardstick is the existing business. Marvell has said preliminary revenue for the third quarter of fiscal 2027 falls within its prior guidance, and it narrowed the expected revenue range from ±5% to ±2%. Full quarterly results and the accompanying conference call are scheduled for December 1, 2026, with the market consensus for the quarter standing at $3.156 billion.

That disclosure is supportive so long as the complete figures confirm the picture. It also gives the recovery a clear checkpoint. Confirmed revenue direction helps the bull case; converting the promised deal benefits into tangible economic value is the harder assignment.

Budzinski's risks — market-share losses among them — temper the optimism for as long as their financial consequences remain unresolved. The Google order and the raised forecasts supply an operating standard by which to judge the company: can Marvell back those growth assumptions with actual business numbers? A higher valuation looks justified if profitable growth confirms management's expectations.

The verdict, then, is cautiously constructive. The custom-chip win and upgraded outlook favor Marvell provided they translate into durable per-share growth, and the standalone valuation gives that view a defensible foundation. The enlarged share count raises the bar for Lumentum. Marvell can clear it by doing two things at once: delivering its own growth profitably, and making the additional economic contribution from Lumentum visible to existing shareholders.
