Medtronic is navigating a pivotal stretch on two fronts this week, with a legal challenge from a smaller rival landing just as the company's long-anticipated MiniMed separation reaches its final hours.

The medical technology giant confirmed that its exchange offer for the MiniMed unit expires at midnight New York time on Friday, unless the company opts to extend the window or call off the transaction altogether. The final exchange ratio has been locked in at the upper bound of 4.5939 MiniMed shares for every accepted Medtronic common share, a ceiling that was set on Wednesday. Medtronic filed a second supplement with the U.S. Securities and Exchange Commission on Thursday to bring its tender terms in line with the now-fixed ratio. According to media reports, Applied Medical Resources filed a response in court on October 2 seeking a permanent injunction against the company. The dispute centers on allegations that Medtronic monopolized the market for advanced bipolar energy instruments sold into operating rooms. Applied Medical is pushing for a lasting ban on certain sales practices, accusing the larger rival of abusing its market position. Antitrust cases of this kind can carry strategic risks for entrenched medical device makers.

Medtronic secured both FDA clearance and European CE marking for its Affera Prism-2 mapping software, while the PulseSelect ProxBox adapter with integrated software also received CE certification.

R&D Spending and Analyst View

Alongside the portfolio overhaul, Medtronic continues to direct substantial resources into development. In its fiscal 2026 report, the company disclosed research and development spending of USD 2.9 billion and said its technologies have reached more than 82 million patients worldwide.

Barclays weighed in on the stock with an "Equal Weight" rating and a price target of USD 95. The key question for investors is whether Medtronic can put its legal entanglements to rest quickly and press ahead with rolling out new therapies without disruption.
