Medtronic has locked in the mechanics of its MiniMed separation, giving institutional investors the clarity they have been waiting for on the medtech group's future capital structure. In a filing with the US Securities and Exchange Commission, the company submitted Amendment No. 2 to its Schedule TO alongside a mandatory Form 425 notice, formalizing the final exchange ratio and the supplementary offer documents underpinning the split-off.
Exchange Offer Nears Its Deadline
The terms, first disclosed on Wednesday, give participating shareholders 4.5939 shares of MiniMed Group, Inc. for every Medtronic common share they tender. The window is tight: the offer expires at midnight New York time on Friday unless Medtronic extends it or pulls the transaction.
Completion of the swap is central to management's effort to sharpen the portfolio, freeing up resources that can be redirected toward higher-growth franchises. It also removes a layer of uncertainty that had hung over the company's capital structure in the eyes of institutional holders.
A New Face in Cardiac Ablation
Alongside the corporate restructuring, Medtronic is making moves on the operational front. Felicia Kurz was named Vice President and General Manager of Cardiac Ablation Solutions, a hire confirmed by a company spokesperson and reported in the media. Kurz joins from Siemens Healthineers, and her appointment signals Medtronic's intent to press its advantage in technologies treating heart rhythm disorders.

FDA Clearance and Billing Code Wins

The instruments are built to work with the Stealth AXiS ENT navigation system, and the company expects the first US clinical cases later this year, following planned software updates.
Earlier in the month, on October 1, Medtronic reported that it had obtained Category I CPT codes for its Altaviva and Symplicity Spyral systems — a decision that strengthens its reimbursement footing within the US healthcare system.
Global Reach and Analyst Coverage
The company's reach remains vast. According to its Impact Report released Tuesday, Medtronic treated more than 82 million patients worldwide during fiscal 2026.
Analysts are taking note. Barclays initiated coverage of the stock on Tuesday with an Equal Weight rating and a $95 price target, pointing to broad sector weakness as an attractive entry opportunity.
In Frankfurt trading, Medtronic shares closed Friday at EUR 79.00, up 1.0 percent on the day, giving the group a market value of roughly EUR 97.59 billion. Over a seven-day stretch, the stock has added 3.0 percent.
