Medtronic Lands FDA Nod for Sinus Blades as MiniMed Exchange Offer Hits Its Deadline

Medtronic's surgical business picked up fresh regulatory ground this week, with the FDA granting 510(k) clearance on Wednesday for its navigated ApexCut EM blades. The toolset adds image-guidance capability to the company's powered instruments for ear, nose and throat procedures, specifically targeting sinus surgery. Investors greeted the news calmly: the stock closed Friday at EUR 79.00, up 1.0% on the day and 3.0% over a rolling seven-day stretch, giving the medtech group a market capitalization of roughly EUR 97.59 billion.
The clearance lands alongside a broader push on the reimbursement front. On October 1, the American Medical Association approved new Category I CPT codes covering both the Altaviva system and the Symplicity Spyral renal denervation platform. Those billing codes, which take effect in January 2028, will govern how physicians are reimbursed for the treatments — a step that matters as much to commercial adoption as any device approval.
Clinical Data and Portfolio Surgery Move in Tandem
Medtronic also released new trial findings on October 3 from its VenaSeal Spectrum program, which examines treatment of chronic venous disease. The study tracked venous leg ulcers across 24 months in 125 patients and recorded an 88.1% ulcer healing rate.
Should investors sell immediately? Or is it worth buying Medtronic?
Running parallel to those pipeline developments is the company's largest structural move: the split-off of its MiniMed diabetes unit. Management locked in the final exchange ratio on Wednesday, setting 4.5939 MiniMed shares for every Medtronic share validly tendered. The offer covered up to 225,361,295 MiniMed shares, and Medtronic signaled it would accept an additional 27,452,053 shares in the event of oversubscription. The window for tendering closed at midnight New York time on Friday, unless the company extends or terminates it.
Paperwork formalizing the transaction followed. Medtronic filed Amendment No. 2 to its Schedule TO together with a mandatory Form 425 communication with the SEC, placing the definitive exchange ratio and supplementary offering materials on the regulatory record. The separation is designed to let Medtronic redirect freed-up resources toward higher-growth areas, while closing the exchange offer removes a layer of uncertainty for institutional investors weighing the company's future capital structure.
Leadership Change and a Fresh Analyst Call
Elsewhere on the organizational chart, Felicia Kurz took over as Vice President and General Manager of the Cardiac Ablation Solutions division. She joined from Siemens Healthineers, according to media reports, stepping into the role on Wednesday.
Analyst coverage also shifted. Barclays initiated its rating on the shares at Equal Weight with a USD 95 price target, pointing to broad sector weakness as an attractive entry opportunity rather than any company-specific concern.
