Medtronic is closing in on the final chapter of its MiniMed separation, with the exchange offer for the diabetes unit set to expire Friday at midnight New York time. The deadline also marks the last chance for holders to withdraw shares they have already tendered.
The mechanics of the swap are now locked in. Medtronic has fixed the exchange ratio at the top of its range — 4.5939 MiniMed shares for every Medtronic share submitted — while the base offering covers as many as 225,361,295 shares of the soon-to-be-independent company. That figure sets the ceiling on what investors can receive per share tendered.
Oversubscription Backstop, No Extension
Should demand outstrip the available pool, Medtronic has ruled out pushing back the window. Instead, the company intends to top up the offer with every remaining MiniMed share it still holds, aiming to satisfy as many exchange requests as possible. If interest clears even that higher bar, acceptances will be prorated and tendered shares scaled back on a uniform basis.
In an oversubscription scenario, Medtronic plans to add 27,452,053 leftover MiniMed shares to the offer. That path would see the company retire roughly 55,032,401 of its own shares. Absent that supplementary block, the figure would land at about 49,056,639 Medtronic shares. Either way, the cancellations put a meaningful dent in the company's outstanding share count in the market.

Separately, Medtronic picked up 510(k) clearance from the U.S. Food and Drug Administration for its ApexCut EM navigation blades, a product aimed squarely at sinus surgery. The instruments pair powered surgical tools with navigation technology and are built for use alongside Medtronic's own Stealth AXiS ENT system, a combination intended to give surgeons tighter guidance during procedures on the paranasal sinuses.
The company is targeting a swift move into clinical use, with the first U.S. patient cases expected before the end of 2026. That timeline carries a condition, however: an updated release of the navigation software must be in place before the blades reach operating rooms.
Barclays Steps In With Equal-Weight
On Wall Street, Medtronic drew fresh attention as Barclays initiated coverage of the stock, ticker MDT. Analyst Christopher Pasquale launched with an Equal-Weight rating and a $95 price target, a neutral stance that implies the brokerage sees near-term upside roughly in line with the broader market. The call lands as medtech observers stay measured on the sector despite the company's widening product lineup.
Billing Wins Underpin the U.S. Push
The blade clearance slots into a stretch of strategic moves on the American market. A little over a week ago — a span in which the stock has added 0.6% — the American Medical Association granted permanent Category I CPT codes for Medtronic's Altaviva implant and its Symplicity Spyral system. Such codes matter because they cement insurer reimbursement for treatments and smooth the path to broad hospital adoption.
With a market capitalization equivalent to EUR 99.96 billion, Medtronic remains a heavyweight in medical technology. Regulatory clearances on the product side and secured reimbursement on the billing side together form the groundwork for where its surgical systems go next.
In European trading, the shares have been subdued around the news flow. The stock last closed at EUR 76.56, a decline of 1.0% on the day, while it was quoted at EUR 77.42, up 0.08%, as investors weighed the FDA clearance. For shareholders, the strategic shape of the company after MiniMed goes its own way remains the dominant consideration.
