Metallium's Traxys Pact: A Wide Mandate, a One-Sided Lock-Up, and No Guaranteed Orders

Metallium has secured a memorandum of understanding with Traxys North America to explore critical-metals processing on US soil — but the arrangement binds only one of the two parties. Flash Metals USA, Metallium's American subsidiary, is barred from negotiating similar partnerships in the agreed field until 31 December 2026. Traxys faces no matching restriction. That asymmetry sits at the heart of an agreement that opens a sprawling review agenda while committing neither tonnage nor capital.

What the framework actually covers

The two companies will study how Metallium's Flash Joule heating technology can be folded into American supply chains. The review spans feedstock procurement and toll processing, alongside marketing, offtake and price hedging for the metals produced. Possible advance payments, working capital and strategic investments are also on the table, as is the eventual combination of Metallium's Texas platform with Traxys' sourcing, logistics and trade-finance capabilities.

The list of candidate materials is long: magnetic rare earths, plus gallium, germanium, indium, tungsten, copper and other industrial and platinum-group metals. Naming them, however, demonstrates no processing capacity and no sales. A catalogue of possibilities is not a proven service portfolio.

Should investors sell immediately? Or is it worth buying Metallium?

The distinction investors keep missing

Nothing in the memorandum obliges anyone to anything. There are no binding commitments on volumes, prices, offtake, financing or investment, and no fees or share issuance are attached to the document itself. Any equity stake by Traxys remains under review rather than an agreed injection of capital. Definitive agreements for selected projects are targeted by 31 December 2026 — a goal, not a promise of signature. The framework itself runs to 30 November 2027 and either side may terminate it on 30 days' notice.

Project Vault is a separate story

Traxys' supplier role in Project Vault does not travel with this deal. It confers no supplier status on Metallium within that programme, no US government funding and no state purchase guarantee. Government-backed revenue for Metallium cannot be inferred from Traxys' position there; the two must be assessed independently.

Why the counterparty matters — and why it doesn't settle the question

Traxys reports annual revenue above USD 10 billion and activity across more than 65 raw materials. That scale is precisely what makes it an attractive partner for a company at Metallium's stage. It does not, however, substitute for contract terms.

The real test comes with binding follow-on agreements. Only agreed volumes, prices and financing conditions will reveal what economic value the framework can generate. Until then, it represents a business opportunity with explicit caveats — not secured business.
