Metaplanet shares fell 7.1% on the day, caught in the downdraft of a weak crypto market. Reports linking a suspected security breach at Binance — which froze assets worth more than $2.5 billion — to the sell-off in digital tokens have weighed on the company's Bitcoin-treasury strategy. The decline coincided with a broader retreat in technology stocks, so the pressure on Metaplanet cannot be read in isolation from the wider market mood.

That distinction matters for shareholders. The day's move stems from crypto-sector stress, not from anything specific to Metaplanet's capital measures — which form the backdrop against which the market reaction should be judged.

A New Anchor Investor on the Register

On the ownership side, Capital Research and Management Company has become Metaplanet's largest shareholder. A filing dated October 23 put its voting-rights stake at 11.11% as of October 16. The disclosure documents the weight of an institutional holder; it says nothing about that investor's time horizon or how it might vote in future.

A second October 23 filing covers three entities tied to Morgan Stanley, which together reported a 5.25% holding as of October 15. The composition deserves attention: it includes securities held for securities and stock lending, so it should not be equated with a single strategic position. What counts for investors is not just the headline size but the character of the holdings.

Should investors sell immediately? Or is it worth buying Metaplanet?

Convertible Bond Tied to Debt Repayment and Buybacks

At the corporate level, Metaplanet announced on October 13 an unsecured, zero-coupon convertible bond of „52 billion maturing in 2031. Roughly „23.6 billion is earmarked for repaying loans, with up to „28.3 billion set aside for share repurchases. Separately, the company approved a buyback programme with a ceiling of „60 billion.

Those figures describe different purposes and authorisations — they should not be lumped together as a repurchase sum already spent. The conversion price was set at „339, meaning the funding carries the potential for dilution down the line.

What Was Actually Bought Back

On October 14, Metaplanet confirmed it had completed the repurchase of 73,981,400 of its own shares through the ToSTNeT-3 system, staying below the previously announced maximum of 96,934,800 shares. The distinction between announcement and execution is central here: the shareholder filings show ownership at specific reference dates, the financing announcement sets out planned uses of proceeds, and the buyback result describes a completed transaction.

Metaplanet at a turning point? This analysis reveals what investors need to know now.

Two opposing forces are therefore at work for investors. The completed buyback sits alongside the possibility of future dilution if the bonds are converted, and the funding serves not only the repurchase but also the retirement of existing secured credit obligations. Today's share-price pressure comes from the weak crypto environment; the offsetting effects of these capital measures will remain decisive for any fuller valuation.
