Mutares has spent October assembling what looks like a busy divestment calendar, but the three portfolio files now in play sit at markedly different stages of completion — and that gap matters more to the equity story than the headlines themselves.

MPCM raised its price target on the stock to EUR 45 from EUR 41 on 22 October, keeping its buy rating intact. The upgrade landed alongside a flow of disposal news that has given the shares fresh momentum, most visibly on 20 October, when the stock climbed sharply in afternoon trading after Mutares disclosed its plans for the Polish drugstore chain Natura. dpa-AFX tied the advance directly to that announcement.

From term sheet to closing

Natura is the furthest along of the Polish files. Roughly a week before the upgrade, Mutares agreed the key terms of a sale to Grupa Kapita?owa Specja? in a term sheet. The purchase agreement and closing are both slated for the fourth quarter of 2026, subject to clearance from Poland's competition authority, UOKiK, and other customary conditions.

The Stuart parent, SRT Group SAS, and its subsidiaries have drawn an irrevocable offer from Quiver. Completion is expected in the fourth quarter of 2026, conditional on informing employee representatives. Stuart generates roughly EUR 50 million in revenue — a figure that describes the size of the business, not the proceeds Mutares would book from a sale. Investors should keep those two numbers apart; turnover alone says nothing about the outcome of a disposal.

Should investors sell immediately? Or is it worth buying Mutares?

Nord Gas keeps its options open

At Nord Gas Solutions, the picture is less settled. Mutares is weighing strategic exit routes that include a possible listing in the Nordic countries, and as of about two weeks ago no decision had been taken. The unit posted revenue of around EUR 459 million in the first nine months of 2026, with adjusted EBITDA of EUR 43 million.

Full-year guidance points to revenue above EUR 575 million and adjusted EBITDA of roughly EUR 50 million. The order backlog stands at EUR 880 million, giving the business a tangible operating anchor as management tests which route — trade sale or IPO — makes most sense. A listing, though, is one option under review, not a resolved event.

What the differing stages mean

The distinction between an irrevocable offer and a term sheet is not cosmetic. Neither document equals a completed sale: a term sheet still needs a signed contract and a competition ruling, and an offer still needs the employee consultation to run its course. Treating the three files as a uniformly secured pipeline overstates what has actually been confirmed.

If closings slip, the proof that these processes can be executed simply arrives later. That would not mean the plans have failed, but it would undercut the assumption that every intended step lands inside the targeted window. On Nord Gas, the uncertainty is of a different kind — options are being explored, and the business forecasts remain projections until the actual numbers confirm them.

Mutares at a turning point? This analysis reveals what investors need to know now.

The 12 November checkpoint

A constructive read on the stock can still be justified while the disposals stay on track, with the prospect of completed transactions replacing announcements. Should material steps be delayed, that expectation would deserve a more cautious weighting, with progress on each process mattering more than adherence to a stated timeframe.

The next hard datapoint comes on 12 November, when Mutares is scheduled to publish its third-quarter 2026 figures, according to its financial calendar. That release offers a test of operating momentum — and the same question runs through it: does delivery follow the opportunities management has laid out?
