Mutares Portfolio in Flux: One Deal Done, One Pending, One Still Undecided
Published on 10/21/2026 at 19:11 | Editorial boerse-global.deMutares has three portfolio stories running at three very different speeds, and for investors the gap between them matters more than the headline count of transaction announcements. A completed acquisition, a signed framework agreement and an exit route still under review carry nowhere near the same weight — and treating them as equivalent progress would overstate how far the German holding company has actually travelled.
Take the Steinmüller Engineering deal first, because it is the only one that is finished. Mutares has closed its purchase of the business from the IHI Group under a share deal, and the company will sit as a platform investment in the Energy & Technology segment. Steinmüller generated total output of just under EUR 100 million in its last financial year and employs roughly 170 people — a figure the company presents as total output rather than as a revenue line. The transaction stands as the counterweight to the group's open sales processes, proof that Mutares can complete what it announces, though it does nothing to advance those pending exits.
Natura: buyer named, contract still to come
At the Polish drugstore chain Natura, Mutares has signed an agreement with Grupa Kapita?owa Specja? covering the essential terms of a sale. That names the buyer, but it is not the same as an executed purchase contract, let alone a completed exit. Both the contract and the closing are targeted for the fourth quarter of 2026, and the package hinges on merger-control clearance from Poland's UOKiK antitrust authority. No financial details were disclosed, so the announcement offers no quantifiable earnings contribution for Mutares.
What it does offer is a clear next milestone. The coming weeks will show whether the framework agreement converts into a binding contract and then into completion within the intended window. Regulatory approval remains a condition to be met, not a result already banked. Should the timetable slip, the near-term case for execution weakens; should it hold, an open item closes. Neither a failure nor a guaranteed closing can be read into the current stage.
Should investors sell immediately? Or is it worth buying Mutares?
Nord Gas Solutions: strong trading, no decision
Nord Gas Solutions sits furthest from resolution. Mutares is working with financial advisers to review strategic options, including a possible listing in the Nordic countries, and says no decision on a transaction has been taken. The operating backdrop explains the review: in the first nine months of 2026 the business posted revenue of around EUR 459 million and adjusted EBITDA of EUR 43 million, according to figures published a little over a week ago. For the full year, Mutares expects revenue above EUR 575 million and adjusted EBITDA of roughly EUR 50 million. The firm order backlog stood at EUR 880 million as of 30 September 2026.
Those numbers are forecasts and reported results, not a verdict on the exit route. An IPO is one option among several under examination, and reviewing a listing is not the same as carrying one out. Solid trading can accompany a sale process without proving that a sale will happen or which form it will take. Investors would be overreaching to price the flotation as a decided plan, just as they would be premature to book the revenue guidance as already achieved.
Why the distinction pays
The real risk here is one of blended certainty. Lumping a closed acquisition, a prepared sale and an option under study into a single narrative of completed progress flatters the portfolio's actual state. Each sits at a different stage of maturity, and expectations should be weighted accordingly rather than front-running every announced possibility.
For now, the Natura timetable is the next hard checkpoint, with the purchase contract and closing pencilled in for the fourth quarter of 2026, subject to UOKiK clearance. At Nord Gas Solutions, only a decision on the options under review would create a new level of commitment. Until then, operating performance and transaction progress deserve to be judged on separate ledgers — good trading figures can run alongside a sale review, but they neither seal the deal nor dictate the route.
