Nebius signed a Rotterdam letter of intent, but financing, permits and power remain pending as AI buildout cost worries weigh on the stock.

Nebius is asking investors to weigh a pipeline of announced capacity against the harder question of when any of it will actually run. The company's freshly disclosed letter of intent for Rotterdam's planned VOLT campus widens the expansion horizon, but it does not yet deliver a single powered server. What matters now is less the headline size of the project than the distance between a signed intention and usable infrastructure.

According to W.Media, Nebius put its name to a letter of intent to become the first tenant of the AI campus, though the share of capacity it would occupy remains undisclosed. VOLT is developing the site with Eneco as energy partner. Final agreements, financing, permits and sufficient power and grid capacity all remain prerequisites before anything gets built.

That distinction carries extra weight today. Reuters reports mounting concern over the cost of financing and the returns on AI buildouts, and Nebius is caught in the downdraft. The stock is off 4.2% in current trading, which means the Rotterdam news lands in an environment of heightened skepticism toward AI infrastructure spending. None of that proves the project will fail — nor does it guarantee it will proceed.

Powered capacity is the only metric that counts

The real test is available IT capacity. A letter of intent documents interest; a binding contract creates firmer obligations. Neither substitutes for a grid connection or a completed data center. For Nebius, expansion only becomes operationally meaningful once the infrastructure can be switched on.

VOLT's Rotterdam plan totals 600 MW of IT capacity, with a first phase of 200 MW. No commissioning date has been confirmed, and both construction and financing are still outstanding. The campus dimension therefore describes an option, not a resource Nebius already holds — and the full project capacity cannot be attributed to the company. Investors should separate the developer's overall undertaking from any future use Nebius might make of it.

Should investors sell immediately? Or is it worth buying Nebius?

The estimated investment is likewise not a Nebius contract value. VOLT puts the project at roughly EUR 7 billion, of which about EUR 2.5 billion is expected to go to buildings and infrastructure and EUR 4.5 billion to computing equipment. That scale explains why financing remains a critical execution step.

A binding anchor already exists in South Carolina

The bull case does not begin in Rotterdam. Nebius has already secured a binding contract with AIB for the CLT1 campus in South Carolina — a deal that, unlike the Rotterdam letter, carries concrete capacity and term conditions. Signed on September 30, it covers 50 MW of critical IT capacity with an initial term of 12 years and options for two five-year extensions.

Successful delivery would matter more to growth than the mere size of the contract. If AIB finances and completes the build, Nebius could tap additional infrastructure over the long haul. Rotterdam would then open a further expansion avenue, provided the letter of intent matures into definitive agreements.

That Nebius is already growing fast is evident from second-quarter 2026 AI cloud revenue of USD 574.9 million, up 514% year over year. The bullish scenario thus rests on extending visible revenue growth, reinforced if new capacity comes online on time and can be used profitably. A pile-up of large project announcements would not be an equivalent proof point.

Execution risk cuts both ways

The serious counterargument is feasibility. Even under the binding AIB contract, permits, financing and construction are still pending. Contractual commitment does not mean Nebius can already deploy the agreed capacity. AIB cites a contract value of about USD 1.32 billion for the initial term — money not yet collected. An illustrative financing model envisions USD 800 million, with construction debt and preferred capital not yet arranged.

A substantial slice of execution risk therefore remains. Higher financing costs or delays could complicate delivery, and Reuters describes exactly these strains as the current worry across the AI buildout. For Nebius, the question is whether such problems impair the timing of its planned infrastructure.

Rotterdam carries the added risk of an even earlier project stage. Without final agreements and secured execution, no reliable near-term revenue contribution can be derived from it. Strong growth alone also does not answer how economically additional capacity can be deployed.

Concrete milestones would sharpen the picture

As long as Nebius keeps growing and its infrastructure partners push the agreed projects forward, extra capacity remains a plausible foundation for further expansion. If financing or delivery schedules slip, the focus would shift to delays and the usability of existing commitments. The next tangible catalyst would therefore be a confirmed execution step: final agreements or secured financing in Rotterdam, or progress on financing and construction of the AIB project. No credible operational start has been confirmed for Rotterdam.

AIB targeted deliveries roughly 10 and 14 months after the planned grid connection on October 1. That schedule confirms neither a completed connection nor a guaranteed delivery.

On the operational side, Nebius has posted concrete progress worth noting. On Thursday it reported NVIDIA Exemplar Cloud status on NVIDIA HGX B300 for training workloads. On October 1 it also acquired Inferize, a specialist in inference optimization, in a move meant to strengthen the Token Factory platform for production use. The certification concerns training; the acquisition concerns deployment of AI models — distinct avenues for broadening the offering. For my money, that is a more substantive proof of progress than an announcement of additional capacity.

Nebius at a turning point? This analysis reveals what investors need to know now.

No financial terms were disclosed for the Inferize deal either. Its strategic purpose is tangible; its economic contribution cannot be quantified from the outside. Anyone equating operational advances directly with financial relief skips a decisive step of scrutiny.

Analyst optimism needs economic backing

Media reports indicate Rosenblatt Securities initiated coverage of Nebius on October 7 with a buy rating and a USD 304 price target. That is an optimistic analyst call, not a guarantee of future gains. It would be wrong to treat the rating as automatically invalidated by the recent weakness — just as a high target does not dissolve concerns about buildout costs and financing. Technical capabilities, growth prospects and financial viability must each be examined on their own.

Today's softness follows yesterday's pressure from worries about AI valuations and the financial sustainability of data center expansion. A disputed report on OpenAI's projected revenue also weighed on so-called neocloud stocks, according to media accounts. Precisely because that report is contested, it is no reliable evidence against Nebius.

The underlying investor question is nonetheless legitimate. Anyone adding infrastructure must demonstrate not only technical performance but also that the financing holds up economically. Rising rate fears and more selective lenders are shifting the focus from growth potential to its cost — and that shift, more than the daily price move, is the part worth watching.

On balance, the demand for economic proof currently outweighs faith in expansion promises. Nebius is delivering operational progress that deserves attention. Today's valuation pressure shows why those advances alone are not enough: what counts is whether the buildout turns into a financially convincing business.
