The Nebius AI segment grew even faster, up 514% to USD 575 million, accounting for 98% of consolidated revenue.

In parallel, Nebius swapped USD 400 million of existing 2.00% convertible notes due 2029 and another USD 400 million at 3.00% due 2031 — USD 800 million combined — for about 15.8 million Class A shares in privately negotiated transactions. The move trims future debt-service obligations while diluting existing shareholders.
The financing is double-edged. It confirms Nebius is serious about its 5-gigawatt power capacity target and its USD 40 billion order backlog, yet every convertible note represents future dilution should the share price clear the conversion threshold. Investors celebrating the rally would do well to keep that capital requirement in view.
Institutional Money Leans In
Professional investors appear to be looking past the dilution risk. During the latest reporting period, 635 institutional investors added to their Nebius positions while 297 trimmed theirs — a predominantly accumulating stance that aligns with the company's combination of operating profitability and still-elevated growth.
The share price tells a more complicated story. Despite the recent run — up 24% over 30 days and 182% year to date — the stock remains about 21% below its 52-week high of EUR 261.00, meaning the euphoria has not yet produced a fresh peak. A 30-day annualized volatility of 131% keeps this firmly in territory for investors with strong nerves.
Taken together, the Palantir partnership, the blowout quarter and the secured financing give Nebius multiple pillars of support at once. The growth rates speak for themselves; the capital structure counsels caution.
