The Numbers Look Good. The Details Are Messier.

Nemetschek's second-quarter results, released on July 30, showed currency-adjusted revenue growth of 14.5 percent to 327.7 million euros. On a reported basis, including negative foreign-exchange effects, growth came in at 13.0 percent. Net profit climbed 25.4 percent to 66.0 million euros, with earnings per share rising to 0.57 euros from 0.45 euros a year earlier.

The subscription transition, meanwhile, is gathering pace. Recurring revenue from subscription contracts grew 29.6 percent in the first half to 266.4 million euros — evidence that the company's shift away from one-time licenses toward recurring models is taking hold, even if the market has yet to reward it.

HCSS: The $2.4 Billion Bet That Changes the Math

The defining event of the summer was the closing of the Heavy Construction Systems Specialists (HCSS) acquisition. The deal, announced in April and legally completed on July 1, marks the largest acquisition in Nemetschek's history. The Sugar Land, Texas-based company is now consolidated within the Build segment.

Management's guidance around the deal is precise about the trade-off. HCSS is expected to add roughly 600 basis points to currency-adjusted revenue growth, while simultaneously depressing the reported EBITDA margin by about 150 basis points. The full-year 2026 outlook now points to a reported EBITDA margin of 30.5 to 31.5 percent — still within the company's organic guidance of 32 to 33 percent, but at the lower end once acquisition effects are factored in. The deal is expected to be roughly earnings-neutral in 2027 and accretive only from 2028 onward.

The Build segment is already feeling the boost. Second-quarter revenue there rose 24.5 percent on a currency-adjusted basis to 142.9 million euros, with the segment's EBITDA margin climbing to 40.1 percent. Management noted that HCSS grew at a high-single-digit to low-double-digit rate in the first half, and that its underlying growth outlook remains intact.

Elsewhere, the picture is more mixed. The Media business around Maxon is now expected to grow only at a mid-single-digit rate in 2026, a downgrade from earlier expectations of high-single-digit or double-digit growth. Meanwhile, Bluebeam is rolling out its AI suite, Bluebeam Max, across all sales and partner channels, with additional features due by year-end, supported by the smaller mbue acquisition.

Analysts Can't Agree — and the Spread Is Enormous

The combination of growth and margin pressure has produced an unusually wide corridor of analyst opinions. UBS downgraded the stock from Neutral to Sell on Tuesday, cutting its price target from 53 to 52 euros, citing doubts about earnings quality and near-term EBITDA headwinds.

At the opposite end of the spectrum, JPMorgan's Joseph George reaffirmed an Overweight rating with a price target of 110 euros in a note published July 31. He raised his estimates to account for the HCSS integration, arguing that the quarter's noise doesn't undermine the underlying thesis.

Somewhere in between sits the Quirin Privatbank. Sebastian Droste confirmed a Buy recommendation on August 4 but slashed the price target from 127 to 98 euros, citing more conservative long-term growth assumptions and a higher beta for the stock. A third house also kept a Buy rating while trimming its target from 91 to 89 euros, noting that revenue slightly beat consensus while EBITDA suffered from currency effects and acquisition costs.

The spread between the highest and lowest price targets — 110 euros versus 52 euros — is a striking measure of just how divided the Street has become on this name.

Two ownership developments have added another layer to the narrative. In early July, Georg Nemetschek transferred shares to the GVN family foundation he controls, pushing the foundation past the 10 percent voting-rights notification threshold. Together with additional voting rights attributed through a pooling agreement, Georg Nemetschek now controls 45.07 percent of the shares, representing 52,060,847 votes. The foundation has stated it seeks influence over the composition of management and supervisory bodies but plans no major changes to the capital structure or dividend policy.

The practical effect is that a hostile takeover is now effectively off the table. A domination agreement or squeeze-out would require a three-quarters majority — virtually unattainable against such a tightly held family block.

Then there's the insider purchase. On July 30, the same day the quarterly numbers hit the wire, supervisory board chairman Kurt Dobitsch bought 1,500 shares on the Xetra exchange at an average price of 61.10 euros, for a total outlay of 91,650 euros. Whether that's a signal of conviction from inside the boardroom or simply a contrarian gesture against a wave of target-price cuts is impossible to prove — but it's a notable data point in a period when external voices have been anything but unanimous.

The Next Test Arrives in November

For now, Nemetschek embodies the structural transition sweeping through the construction software industry. Growth through acquisitions and subscription models doesn't come without friction: customers migrate from perpetual licenses to recurring contracts, and deals like HCSS accelerate revenue while diluting margins in the near term. The company has held its organic guidance for 2026 — 14 to 15 percent currency-adjusted revenue growth and an EBITDA margin of 32 to 33 percent — but the market is clearly weighing the reported numbers more heavily than the adjusted ones.

The next checkpoint comes on November 5, when Nemetschek reports third-quarter figures. Until then, the stock remains a referendum on how much patience investors are willing to extend to a transformation that, on paper, is already working. The gap between the growth story and the share price may narrow — or it may widen further. Either way, the market's verdict is still out.
