Ocugen's Cash Clock Ticks Louder Than Its MENA Royalty Deal
Published on 10/19/2026 at 03:40 | Editorial boerse-global.deOcugen has pushed back the shareholder meeting at which investors will decide whether to authorize an additional 250 million common shares. The extraordinary general meeting, originally expected earlier, now convenes on December 22, 2026 at 8:00 a.m. ET, with a record date of October 30, 2026 governing who may cast a ballot.
The delay lands at an awkward moment for a company whose equity is already under heavy pressure. Ocugen closed Friday at EUR 0.7110, a mere 0.9% above its 52-week low of EUR 0.7050, and the stock has shed 43% since the start of the year. For holders, the proxy question cuts both ways: extra authorized stock would give management room to fund research, but it would also dilute existing stakes.
A Licensing Win With a Long Fuse
Management has been working the commercial side of the story. On Thursday the company released an updated investor presentation outlining the progress of its ophthalmology gene therapy pipeline, with emphasis on the next clinical steps and the regulatory pathways it intends to pursue. For shareholders, the deck offers the clearest available markers on study timelines and development phases.
Should investors sell immediately? Or is it worth buying Ocugen?
The centerpiece of that commercial push is OCU400. Ocugen has signed an exclusive licensing agreement with Roots Pharmaceutical Company WLL covering the Middle East and North Africa, with Al-Dhow International Holding acting as strategic partner. The terms include an upfront payment, initial development milestones of up to $4 million, sales-triggered milestone payments of up to $255 million, and a 22% royalty on net sales. Ocugen retains responsibility for manufacturing and supplying OCU400 under the arrangement.
The catch is timing. Topline data from the Phase 3 liMeliGhT trial are not expected until the first quarter of 2027 — a horizon that leaves little to excite traders in the interim.
Insider Sales Add to the Chill
Sentiment has also been dented by disclosures from the executive suite. On October 9, CEO Shankar Musunuri sold 468,727 shares directly, while KVM Holdings, LLC disposed of 57,264 shares indirectly on the same day. The transactions were executed at a weighted average price of $0.95 per share under a Rule 10b5-1 trading plan established on June 5, 2026 — a structure common in the U.S. to insulate executives from conflict-of-interest concerns.
Such mechanical selling plans are routine, but they rarely reassure a shareholder base already digesting a delayed dilution vote and a years-long wait for pivotal trial results. Until the capital question is settled, the pace of the gene therapy pipeline is likely to remain the single most important operational gauge for investors.
