Between a pair of industry appearances, shareholders are set to decide on a proposal that could reshape the biotech's capital structure — and the timing of that vote has already proven awkward enough to require a postponement.

The company's shares finished yesterday's session at EUR 0.9600, a gain of 5.7% on the day. That advance came alongside word that CEO Shankar Musunuri will represent the firm at two sector gatherings this month. First up is H.C. Wainwright's "Biotech on Tap" conference in Munich on October 1, followed by a presentation at the Cell & Gene Meeting on the Mesa in Phoenix on October 6.

Wedged between those two dates is the rescheduled special meeting, now set for October 5. Ocugen adjourned the gathering roughly a week ago after investors agreed to an interruption, giving the company additional time to collect votes on a measure that would raise the number of authorized common shares by 250 million. The delay itself has not gone unnoticed: since the adjournment, the stock has added 5.7%.

A Financing Question Hanging Over the Pipeline

For existing holders, the share authorization request cuts both ways. The added headroom would give management room to fund a development program that consumes cash steadily, but it also carries the threat of meaningful dilution. The fact that Ocugen needed extra time simply to round up votes suggests the proposal has not sailed through unchallenged.

The company's lead asset, OCU400, targets retinitis pigmentosa, a rare retinal disorder. Ocugen has secured provisional approval and priority status for the program from the Longevity and Regenerative Therapies Board in the Bahamas, where an expanded access framework is being prepared. Under that plan, the first patient would be treated within 90 days of a full approval.

Wall Street has taken note of that regulatory pathway. On Monday, H.C. Wainwright lifted its price target on Ocugen to $10.00 from $9.50 while keeping a Buy rating, citing the Bahamian approval route for OCU400 as the rationale, according to media reports.

The Long Road to a Filing

Commercial-scale progress, however, remains a distant prospect. Topline results from the pivotal Phase 3 trial of OCU400 are not expected until the first quarter of 2027. Ocugen then intends to submit a Biologics License Application in the second quarter of that same year.

That timeline underscores the financing gap the company faces: years of research spending lie ahead before any revenue materializes, which is precisely why management is seeking a larger share reserve now.

Where the Stock Stands

Trading has reflected the uncertainty. At EUR 0.9610, Ocugen shares have lost 23% since the start of the year, and the 52-week high of EUR 2.35 illustrates how far sentiment has traveled in the other direction. Yesterday's uptick offered a brief reprieve, though it did little to settle the central question.

Until the October 5 vote clarifies whether shareholders will approve the 250 million-share increase — and on what terms future placements might occur — dilution risk is likely to remain the dominant force in how the stock trades. The science may hold promise, but the balance sheet question comes first.
