The fate of Commerzbank now rests largely in the hands of the European Central Bank, with supervisors in Frankfurt expected to rule in October on UniCredit's outstanding approval request. That decision is the formal precondition for everything the Milan-based lender intends to do next in Germany.

Andrea Orcel is wasting little time once that green light arrives. According to the Financial Times, the UniCredit chief intends to convene an extraordinary shareholder meeting to redraw the balance of power at the Frankfurt institute, targeting operational control by the end of February 2027 — and possibly as early as January. The previous working assumption had pointed to the second quarter of 2027. Should Commerzbank drag its feet, the overhaul could slip to the regular annual meeting in May 2027.

A full slate of replacements

At the heart of the plan is a wholesale reshuffle of the supervisory board's shareholder side. Orcel wants to replace all ten owner representatives on the 20-member body, a move that would put him on a collision course with the incumbent leadership. Reuters reports that the Italian banker also aims to unseat both supervisory board chairman Jens Weidmann and chief executive Bettina Orlopp, whose contract runs through 2029.

UniCredit's hand is strengthened by the scale of its position. Including derivative instruments, the Milanese bank has secured access to 47.6 percent of Commerzbank's shares — close to half the company.

Orlopp herself signalled in August that she expects the necessary clearances from the ECB, the European Commission and Poland's financial regulator during the fourth quarter of 2026.

Berlin draws its red lines

The German government is digging in against the advance. Holding a stake of around 13.3 percent following earlier buybacks, the Federal Republic is Commerzbank's second-largest shareholder and currently occupies two supervisory board seats. Finance Minister Lars Klingbeil is pressing Milan for binding guarantees: that Commerzbank stays listed, keeps its headquarters in Frankfurt, and continues to make key corporate decisions on German soil.

Berlin also insists on retaining two seats on the future supervisory board and on preserving lending to the German Mittelstand. Orcel, according to media reports, rejects that claim to two mandates. UniCredit has said it welcomes dialogue but declines to make public commitments while talks are ongoing.

Cuts to the loan book and the payroll

If the takeover goes through, the shape of Commerzbank's business is set to change markedly. UniCredit's plans envisage shrinking the international loan book outside Germany and Poland by roughly EUR 20 billion and scaling back the overseas branch network.

Job losses form the other sensitive front. Earlier indications pointed to around 7,000 positions being cut. Orcel has pushed back on union fears that as many as 15,000 jobs could go.

Investors, for their part, have greeted the prospect of a swift change of control with caution. Commerzbank shares closed yesterday at EUR 41.58, a daily decline of 2.4 percent. The stock fetched EUR 41.66 earlier in the session, down 2.2 percent at that point. Even after the recent consolidation, the equity sits just 4.1 percent below its 52-week high.

Whether Orcel accepts Berlin's conditions or takes the fight to the shareholder meeting should become clearer once the ECB delivers its verdict.
