Qiagen Freezes 2026 Guidance as EQT's €10.8 Billion Cash Offer Nears the Finish Line
Published on 10/29/2026 at 14:22 | Editorial boerse-global.deQiagen has pulled its full-year 2026 forecast and scrapped the customary earnings call for its third quarter, a pair of decisions that underline just how thoroughly the pending €10.8 billion takeover by EQT is dictating the company's agenda. The disclosure landed alongside a mandatory SEC filing on October 23 that formally documented the deal first unveiled roughly a week earlier.
Deal Terms Laid Out in Form 6-K
The Form 6-K submission carries the joint announcement and the business combination agreement underpinning the recommended voluntary cash tender offer from Crown NL Bidco B.V., the acquisition vehicle controlled by EQT Private Equity. Holders are being offered €46.50 per share, a price that values Qiagen at an enterprise value of about €10.8 billion.
Qiagen's management board and supervisory board threw their unanimous backing behind the transaction and agreed to recommend that shareholders tender their stock. Closing is targeted for mid-2027, though it hinges on several conditions: a minimum acceptance threshold of 50 percent plus one share, along with regulatory and other clearances. At the time the deal was announced, the offer period had not yet opened and the offer document remained subject to BaFin approval.

Barclays Trims Its Rating, Citi Goes the Other Way
Analysts have been recalibrating in the wake of the agreement, and their revisions point in opposite directions. Barclays downgraded the stock from "Overweight" to "Equal Weight" on Tuesday, according to media reports, while cutting its price target to $53 from $55. Citi, by contrast, lifted its target to $52 from $45 on Monday and kept its "Neutral" rating intact. Of the two houses, only Barclays altered its recommendation. A further downgrade was reported on October 23, when another research firm moved from a buy to a hold.
The shares traded at €45.22 on the day, up 0.2% and still sitting below the agreed offer price.
Provisional Third-Quarter Figures on the Table
Qiagen's preliminary numbers for the third quarter of 2026, released about a week ago, showed net sales of $548 million and adjusted diluted earnings per share of $0.65, both at reported and constant exchange rates. The complete quarterly results are scheduled for November 4, 2026, and management does not intend to hold a conference call to discuss them.
In a separate disclosure, BlackRock reported a voting interest of 13.75% as of October 22, including indirect actual and potential voting rights.
