Quantum eMotion has put a seasoned hand in charge of its technology agenda — and, if all goes to plan, of folding Plurilock Security into the fold. The company named Wayne Teeple, already a member of its board, as chief technology officer, handing him a mandate that runs from high-level strategy through to hands-on engineering.

Teeple's brief covers technology strategy and product development, but it doesn't stop at the whiteboard. He will also coordinate development work and take responsibility for technical integration — a remit that lines up squarely with the acquisition still working its way through approvals. The appointment brings more than 30 years of cybersecurity and technology leadership experience to the role, according to the company.

Alongside the title, Teeple received 500,000 options exercisable at $1.47 per share, terms disclosed as part of the same personnel announcement.

Should investors sell immediately? Or is it worth buying Quantum eMotion?

A Vote Date, Not a Closing Date

Investors waiting for the Plurilock transaction to cross the finish line have one confirmed date to circle: November 18, 2026, when Plurilock shareholders are scheduled to vote on the takeover agreement. Plurilock filed the materials for its special shareholder meeting roughly two weeks ago, marking a procedural step forward — though not the end of the road.

Shareholder approval is only one of several conditions standing between the proposal and completion. Court approval and additional regulatory consents remain outstanding, which makes the November meeting a voting milestone rather than a confirmed closing date. Management expects the deal to close by the end of November 2026, provided the necessary approvals come through — a timeline explicitly contingent on those conditions being met.

What Plurilock Holders Stand to Receive

Under the proposed terms, each Plurilock share would fetch C$0.084 in cash plus 0.0763 Quantum eMotion shares, according to media reports. The consideration therefore pairs a fixed cash component with a fixed stock ratio — a structure that leaves part of the payout exposed to Quantum eMotion's share price. For now, the transaction remains a proposal, not a completed purchase.

Quantum eMotion's stock was trading 3.4% higher at €0.9895 on the day, after having risen 2.2% in pre-market activity earlier.
