Sivers Semiconductors: A 30% Rally Meets a Wall of New Shares
Published on 08/10/2026 at 08:11 | Redaktion boerse-global.deThe arithmetic of share issuance is unforgiving. When Sivers Semiconductors added roughly 35 million shares to its register in the final days of July, the company bought itself financial breathing room — but at a measurable cost to existing holders. The balance sheet now stands at 355,081,317 shares outstanding, following a directed placement of 12,280,701 new shares and the conversion of a loan from Bootstrap Europe IV SCSp into 22,847,044 ordinary shares.
That dilution is the backdrop against which a remarkable price move has unfolded. The stock jumped 13.64 percent on Friday to close at EUR 3.75, bringing its seven-session gain to 29.94 percent. Yet the rally has done little to repair the damage of recent weeks: the shares still trade 29.35 percent below their 50-day average of EUR 5.31, and the annualized 30-day volatility sits at an eye-watering 182.20 percent.
Insider activity tells two different stories
The shareholder register has been in motion since a lock-up agreement tied to April's capital raise expired. CEO Vickram Vathulya has been a net buyer, adding 70,000 shares on July 21 to lift his holding to 4,540,076. His accumulation, the company stressed in a July 24 correction, has been misreported by some data providers — Sivers insists Vathulya has not sold any of the 1,233,761 shares that certain services flagged as disposals.
Elsewhere in the boardroom, the direction of travel has been the opposite. Chairman Bami Bastani donated 60,000 shares to charitable organizations, gifted 70,000 to family members and sold 275,000 on July 16, leaving him with 381,360. Board member Todd Thomson, acting through Headwaters Capital LLC, disposed of 950,000 shares by July 22 and gave a further 50,000 to charity; his residual stake is 477,027 shares.
Should investors sell immediately? Or is it worth buying Sivers Semiconductors?
Several other directors — including Karin Raj, Helena Svancar and Joakim Nideborn — completed purchases in early July under a scheme approved at the June 2026 annual general meeting, subject to a twelve-month holding period. Since the mid-July insider sales concluded, the stock has recovered 21.0 percent.
Fresh capital, fresh questions
The share issuance traces back to a directed capital raise of roughly SEK 600 million, brokered by Pareto Securities through a bookbuilding process, with allocation completed before trading opened on the Nasdaq Stockholm on July 1. Proceeds are earmarked for expanding manufacturing capacity for InP lasers and optical amplifiers — a segment where Sivers reports a sharply growing order book. The conversion of the Bootstrap loan into equity trims debt but compounds the dilution effect.
Analysts at DNB Carnegie responded by trimming their net profit estimates for 2026 and 2027, citing higher interest costs and currency headwinds. Their fair-value range of SEK 12.00 to 26.00 is unusually wide — a reflection of the uncertainty surrounding financing expenses and exchange-rate effects, compounded by the greater share count over which any future earnings must be spread.
Sivers Semiconductors at a turning point? This analysis reveals what investors need to know now.
A quiet period and a pivotal date
Since July 28, Sivers has been in a closed period: executives and board members are barred from trading company shares until the Q2 report lands on August 27. That date has taken on added significance — the interim results were pushed back to align the company's financial reporting with the PCAOB audit standards required for its planned dual listing on the New York Nasdaq.
For now, no corporate news explains the recent surge, and the quiet period rules out any executive commentary that might shed light on it. Investors are left watching price action alone, with the August 27 report as the moment of truth: whether the capital raised has already translated into measurable operational progress — or whether the rally is simply a trading phenomenon with nothing behind it.
