Sivers Semiconductors: A Leadership Split Emerges Just as the Trading Window Slams Shut

The timing could hardly be more awkward. Sivers Semiconductors has entered a mandatory trading blackout under EU market abuse rules, locking its leadership out of any share dealings until the second-quarter report lands in August. But in the final hours before that silence descended, the company’s top executives sent profoundly conflicting signals about where they believe the stock is headed.

Chief executive Vickram Vathulya added 70,000 shares on the open market, lifting his total holding to 4,540,076 shares alongside 3.7 million employee options. Chairman Bami Bastani moved in the opposite direction, selling 275,000 shares and gifting additional stakes to family members and charitable organisations. Board member Todd Thomson also trimmed his position through his investment vehicle Headwaters Capital LLC.

The divergence became possible only after a lock-up agreement expired on 16 July 2026. That lock-up, tied to a share placement the board approved in April, had frozen management’s holdings for months. Once the restrictions lifted, a block of previously untradeable stock hit the market — and the selling began almost immediately.

A Brutal Month for the Stock

The share price has been in freefall. From a 52-week high of €10.23 in early June, the stock has shed roughly three-quarters of its value. On Thursday it staged a modest recovery, climbing 6.87 percent to €2.55, but that did little to erase the 58.53 percent monthly decline. The prior session had seen the stock close at €2.42, down 6.70 percent in a single day.

Should investors sell immediately? Or is it worth buying Sivers Semiconductors?

The 30-day annualised volatility stands at 159.26 percent — a figure that captures the extreme nervousness surrounding recent capital moves and the broader semiconductor sector’s mood swing. The relative strength index has dipped to between 32.9 and 34.8, depending on the calculation period, placing the stock in technically oversold territory. Oversold does not, however, guarantee a reversal.

The Capital Raise and Its Aftermath

The April placement raised approximately 700 million Swedish kronor at an issue price of 57 kronor per share. Those funds are earmarked for expanding manufacturing capacity in the photonics business and supporting rising order volumes in growth areas such as AI data centres, satellite communications and defence.

The company’s opportunity pipeline has swelled to nearly $800 million this summer. Whether operational momentum can offset the share price damage will become clearer when the interim report is published next month. Until then, the leadership is legally obliged to stay silent.

Sivers Semiconductors at a turning point? This analysis reveals what investors need to know now.

Eyes on the Nasdaq Goal

Beyond the immediate turbulence, Sivers continues to pursue a secondary listing on the Nasdaq in New York. The company has adjusted its reporting calendar to allow more time for audits under PCAOB standards, a move management describes as a necessary step toward financial reporting maturity. The long-term aim is to underpin global expansion.

The upcoming quarterly report will be the first detailed update since the capital raise and the refinancing with Bootstrap Europe. Investors are particularly keen for news on the order pipeline and progress toward the US listing. With the blackout now in force, market sentiment is the only guide until August — and that sentiment has been anything but reassuring.
